Job Description

Responsibilities

  • Work with executive team and Company business units to develop contract strategies.
  • Clearly communicate critical legal and commercial issues, present analysis and drive toward solutions.
  • Collaborate as an integral part of the business acquisition team, providing exceptional customer service experience to both internal and external stakeholders during negotiations while protecting the Company.
  • Support corporate governance initiatives ensuring compliance with applicable laws, rules and regulations.
  • Review, interpret, structure, draft and negotiate contracts.
  • Protect and mitigate Company risks that may arise from contractual commitments and regulatory changes.
  • Work independently and identify areas to continually improve and drive efficiency into the contracting process with internal and external stakeholders.
  • Manage the representation of the organization in front of any applicable administrative agencies.
  • Dispute management, early resolution, preventing escalations, managing litigation/arbitration
  • Review and update templates for standard customer and supplier contracts, including NDAs, purchase terms and conditions, etc.
  • Assist in preparing and maintaining legal databases for contracts and other legal documents.
  • Automation of processes for NDAs and Contracts, including tracking of items.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Massachusetts state bar and in good standing.
  • 5-7 years of post-qualification experience as in-house lawyer in a corporate setting.
  • Excellent legal knowledge and analytical approach to legal issues with the ability to translate complex legal issues into plain language.
  •  Experience with contract disputes, including alternate dispute resolution mechanisms. 
  • Excellent interpersonal and stakeholder management skills.
  • Ability to properly balance business needs with legal risks.
  • Expert in MS office and comfortable with new technology.
  • Experience in the manufacturing/engineering industries is preferred.
  • 5+ years of experience in contract negotiation, with a strong understanding of contract law principles.
  • Excellent written and oral communication skills.
  • Ability to work independently and collaboratively in a fast-paced environment.
  • High degree of professional ethics and integrity.
  • Commitment to delivering high-quality legal services and achieving favorable outcomes for client.
