Terrestrial Energy is developing for near-term commercial operation, a zero-emissions cogeneration plant for a global industry using its proprietary Integral Molten Salt Reactor (IMSR) fission technology in an innovative, small and modular plant design.
Over the last 5 years, the Company has recognized the exceptional and unmatched opportunities in US markets created by the policies of the US Federal and States’ governments, and by the actions of the US industrial private sector, including its world leading IT sector developing AI commercial product. In pursuit of this objective, Terrestrial Energy initiated a transaction to legally redomicile the business to the US in 2023, which it completed in April 2024, with 100% shareholder support. This transaction was the first step in its US domiciliation strategy. The Company is currently completing a transaction to secure a US exchange (NASDAQ) public stock listing, which is expected to secure the capital resources necessary to complete its US domiciliation as well as execute on its business plan focused on the US market.
The Company is focused on building a team of business professionals and leaders in the engineering, R&D, product management and business development areas out of our Charlotte, North Carolina location. These key resources will help build the organization structure and processes in Charlotte, NC, which will be the cornerstone to add talented people to the US team, each of whom:
- Will offer US market experience and perspectives bringing innovative approaches to problem solving and business plan execution.

- Will assist in the creation of the organization architecture and structures based in Charlotte and necessary for the successful design development of the Company IMSR plant.

The Senior Corporate Counsel, under the direction of the General Counsel (“GC”), will serve as a legal advisor supporting the GC with corporate, commercial, compliance and securities legal matters for the Company. The role requires extensive experience in these areas to independently handle legal matters while collaborating closely with the GC to address the Company’s complex business needs.
Specific responsibilities include, but are not limited to:
- Providing strategic corporate and commercial legal counsel to the GC, HR, Finance and other internal disciplines/departments on various operational business transactions, corporate governance matters, and commercial legal issues;
- Supporting commercial contract negotiations, drafting commercial agreements, conducting contract reviews, and managing customer and vendor contract portfolios with strategic commercial transaction support;
- Negotiating federal and state government agreements, including CRADAs, SPPs, Cooperative Agreements, Assistance Agreements and similar matters;
- Assisting with securities law compliance including SEC reporting obligations, disclosure requirements, and regulatory filings for public company operations;
- Supporting governance related assignments from the GC;
- Managing and overseeing the Company’s contract database;
- Serving in a compliance role;
- Ensuring compliance with relevant regulations, internal policies and legal requirements; and
- Supporting other similar responsibilities assigned by the GC.

Requirements
- J.D. degree from an ABA accredited law school and active licensure in good standing and, if outside of North Carolina, eligible to practice as in-house counsel in North Carolina.
- Minimum of 7-10 years of relevant work experience in corporate law, commercial transactions, compliance, and securities practice, preferably in a strong advisory legal practice with emphasis on these core areas.
- Substantive law firm training and in-house counsel experience preferred in corporate transactions, securities offerings and reporting, corporate governance, and compliance matters.
- Industrial and manufacturing experience preferred.
- Team player capable of working as a strong individual contributor.
- Practical and business-minded approach.
- Ability to build and sustain strong working relationships, both within and external to the organization (outside counsel, for example).
- Computer proficiency and ability to pick up new software quickly.
- Flexibility to adjust to shifting priorities and deadlines.
- Exceptional interpersonal and communication skills (both written and verbal).
- Strong organizational skills with high ability to set goals, manage time, priorities, resources, accountabilities and schedules.
