Job Description

Arkansas Talent Group is excited to partner with a well-established legal practice in search of an experienced Transactional Attorney in Little Rock, AR with a strong focus on estate planning to join its business and tax advisory team. The ideal candidate will provide legal support in a range of transactional matters, including entity formation, corporate structuring, operational contracts, mergers, sales, and acquisitions. The role also involves advising clients on federal, state, and local tax strategies to minimize liabilities, as well as representing them in disputes with taxing authorities.

What You Will Do:

  • Lead the development and implementation of comprehensive estate plans, including drafting wills, trusts, powers of attorney, and related documents to support clients wealth transfer and legacy goals
  • Draft a variety of transactional documents, including agreements related to real estate, ownership transfers, business purchases, operating structures, confidentiality, and preliminary deal terms
  • Prepare documentation for mergers, acquisitions, and reorganizations
  • Conduct due diligence for business transactions and financings
  • Handle entity formation, joint ventures, compliance, and corporate records
  • Negotiate, review, and revise contracts and transactional documents
  • Advise on legal compliance and risk mitigation strategies
  • Communicate with the IRS and other tax authorities on client matters
  • Assist with tax controversy and dispute resolution
  • Participate in client meetings and provide legal guidance
  • Stay current on legal trends and industry developments
  • Demonstrate strong communication, problem-solving, and client service skills
  • Maintain knowledge of the client's legal documents and operations, including articles of incorporation, by-laws, and all contractual documents binding the company

What You Will Have:

  • Juris Doctorate required
  • Active member in good standing with the Arkansas State Bar
  • Bachelors or masters degree in taxation or accounting, strongly preferred
  • 3+ years experience in estate planning and tax planning, required
  • Experience structuring LLCs, partnerships, corporations, and tiered entities, expertise in M&A, income, estate, and gift taxation, federal, state, and local tax, and partnership, C, and S corporation taxation, preferred
  • Excellent negotiation, contract drafting, and written and verbal communication skills
  • Self-starter with a strong work ethic and a desire to consistently perform at the highest level
  • Ability to work in a fast-paced environment with an ability to proactively determine, prioritize and resolve issues
