Job Summary:

We are seeking a detail-oriented and experienced In-House Counsel to join our legal team, focusing on the review, negotiation, and approval of corporate contracts. This role requires a licensed attorney with a strong background in corporate law, excellent drafting and negotiation skills, and the ability to work collaboratively across various departments. The ideal candidate will have at least 5 years of experience in a corporate legal environment and be licensed to practice law in the State of California.

Responsibilities:

  • Review, draft, and negotiate a variety of corporate contracts, including vendor agreements, service contracts, NDAs, licensing agreements, and partnership agreements.
  • Ensure all contracts align with company policies, objectives, and compliance standards.
  • Identify and mitigate legal risks related to contractual terms and obligations.
  • Provide strategic guidance to stakeholders on potential risks and solutions.
  • Monitor updates to laws and regulations that may impact corporate contracts or practices.
  • Work closely with internal teams, including procurement, finance, and operations, to ensure contract terms align with business needs.
  • Develop and implement standardized templates and processes for efficient contract management.
  • Manage contract lifecycle and maintain organized records for future reference and audits.

Qualifications:

  • Active and in Good Standing with the CA State Bar.
  • J.D. degree from an accredited law school.
  • 3-5 years of experience as a corporate attorney, with significant focus on contract negotiation and management.
  • Proven expertise in corporate and commercial law, particularly California regulations.
  • Food industry/ commodity trading experience is a plus.
  • Excellent negotiation, drafting, and oral and written communication skills.
  • Strong interpersonal skills and the ability to work collaboratively with cross-functional teams.
  • Must be able to work out of our Irvine, CA HQ.
