Job Description

We’re looking for a Corporate Paralegal who will provide comprehensive support across a wide range of corporate, commercial, and compliance matters. The Corporate Paralegal will work closely with business stakeholders, and cross‑functional teams to support contract workflows, corporate governance, entity management, and operational legal processes.
This role is ideal for a professional who excels in a fast‑paced environment, enjoys problem‑solving, and is committed to delivering high‑quality work while supporting business‑critical legal activities.
 
What You’ll Do:
  • Assist with corporate governance matters, including preparing board materials, resolutions, written consents, and maintaining minute books.
  • Support domestic and international entity management, including formation, registrations, annual reports, and compliance filings.
  • Maintain and update contract templates, clause libraries, corporate records, and document retention systems.
  • Conduct legal research, compile summaries, draft memoranda, and support attorneys in developing policies and internal guidance.
  • Coordinate responses to requests from internal teams, external partners, auditors, and regulators.
  • Assist with compliance and risk programs, including training logistics, certifications, and tracking obligations.
  • Support process improvements, automation tools, and enhancements to contracting and governance workflows.
Additional Requirements:
  • 5+ years of experience as a corporate or commercial paralegal, preferably in a corporate legal department or reputable law firm.
  • Strong experience supporting commercial contracting, corporate governance, and entity management activities.
  • Proficiency with contract management systems, document management tools, and Microsoft Office.
  • Excellent attention to detail, organizational skills, and the ability to manage multiple priorities simultaneously.
  • Strong written and verbal communication skills.
  • Ability to work collaboratively with attorneys and business teams in a fast‑paced, dynamic environment.
  • Paralegal certification or equivalent experience strongly preferred.
  • Ability to pass a stringent drug screening and background check, ensuring compliance with organizational standards and policies.
  • Hold a valid and current driver's license.
