The Vice President of Legal / Associate General Counsel will oversee all legal and compliance matters for Ambia Energy, ensuring that the company operates within the framework of federal, state, and local laws and regulations. This role will provide strategic legal counsel to the executive team, manage risk, and develop policies to protect the company’s interests. The ideal candidate will have extensive experience in corporate law, regulatory compliance, and contract negotiation, particularly within the renewable energy sector.
As VP of Legal / Associate General Counsel, you will work closely with the CEO, COO, and executive leadership team to align legal strategies with business objectives, support corporate governance, and navigate the complex regulatory environment in the energy industry.
Essential Duties and Responsibilities:
- Provide strategic legal guidance to the executive team, ensuring the company’s compliance with applicable laws and regulations.
- Draft, review, and negotiate contracts, agreements, and transactional documents related to energy projects, vendor partnerships, and corporate operations.
- Oversee regulatory compliance with federal, state, and local agencies, including energy regulations, labor laws, and environmental requirements.
- Manage litigation, disputes, and risk mitigation strategies, working with external counsel as necessary.
- Develop and implement corporate policies and governance structures to protect company interests.
- Ensure compliance with employment law and human resources policies, providing guidance on labor relations and employee matters.
- Partner with business leaders to structure and negotiate mergers, acquisitions, and strategic investments as needed.
- Monitor and assess changes in laws and regulations, advising on business implications and ensuring proactive compliance.
- Provide training to internal teams on legal risks, compliance, and best practices.
- Strong leadership abilities with a proactive and business-oriented approach to legal matters.
- Exceptional contract negotiation and drafting skills, with a strong understanding of energy project agreements.
- In-depth knowledge of renewable energy regulations, corporate governance, and compliance frameworks.
- Strong analytical, problem-solving, and decision-making skills.
- Ability to collaborate across departments and work effectively with executives, external counsel, and regulatory bodies.
- Excellent written and verbal communication skills.
- Juris Doctor (J.D.) degree from an accredited law school.
- Active bar membership in at least one U.S. state.
- Minimum of 7+ years of legal experience, with a preference for experience in the renewable energy sector, solar industry, energy, home improvement or other related industry.
- Experience managing corporate legal departments, compliance programs, and contract negotiations.
- Background in M&A, corporate law, and regulatory compliance is highly preferred.
- The employee primarily works in an office setting, with occasional travel required for legal proceedings, contract negotiations, and regulatory engagements.
