A Day in the LifeThis newly created Senior Counsel – Securities and Corporate Governance role supports the Diabetes MiniMed business as it prepares for its announced separation from Medtronic. This is an exciting opportunity for a legal professional with deep expertise in securities law to contribute to the strategic direction of a business undergoing a transformative period.

This position will report to the Deputy General Counsel, serving as a key legal advisor to the company. The successful candidate will work closely with the members of the legal team and business stakeholders on securities, corporate governance, and entity management. This role will also support MiniMed's General Counsel in Board secretarial governance and management matters.

This role requires you to work on-site at our Northridge, CA office at least 3 days per week.

 

Responsibilities may include the following and other duties may be assigned.

  • Ensuring compliance with all laws and regulations relevant to areas of responsibility, including securities laws and NYSE listing standards.

  • Advising on reporting/disclosure requirements, including the preparation of periodic reports and other filings required by the SEC and the NYSE, including registration statements, Forms 10-K, Forms 10-Q and Forms 8-K.

  • Leading the preparation of proxy statements, response to shareholder proposals, and annual shareholder meeting.

  • Advising on insider trading and Section 16 issues for directors and executive officers, including the preparation and filing of SEC filings, preparation of 10b5-1 plans and management of trading policies and procedures.

  • Providing legal and corporate governance support for matters related to the Company’s Board of Directors, including preparation of meeting materials.

  • Proactively monitoring and advising on corporate governance, legal, regulatory, and other developments to ensure compliance with changing requirements.

  • Supporting the investor relations function on various matters, including with respect to the preparation and review of communications related to quarterly earnings, as well as materials for investor presentations.

  • Participating in shareholder communications and engagement. 

  • Partner with Human Resources team and have experience advising on company executive compensation practices, including senior management agreements, stock plan administration, executive agreements, incentive bonus plans and programs, severance plans and guidelines, and related public company disclosure considerations. 

  • Support Treasury department, including with respect to financing transactions and credit facility compliance. 

  • Ensure effective corporate governance by managing board operations, maintaining corporate records, ensuring regulatory compliance, and advising leadership on governance and disclosure matters. 

  • Provide legal support for M&A, divestitures, and other strategic transactions, including drafting and negotiating transaction agreements, advising on securities law disclosure and governance considerations, and similar related activities.

  • Mentor and provide guidance to junior legal professionals, fostering a collaborative and high-performing legal team environment. 

Minimum Qualifications:

  • Juris Doctorate (J.D.) degree and admission to practice law in at least one U.S. jurisdiction.

  • Minimum of 8 years of progress experience practicing in areas of securities, corporate governance and corporate transactions, with experience in large law firms as well as in-house counsel roles.

Preferred Qualifications:

  • Experience working with public or private company Boards of Directors, and executive-level management on corporate governance matters.

  • Strong judgment and ability to provide practical, effective counsel and find alternative solutions to problems.  

  • Strong work ethic and team player with ability to connect with people and build trust.  

  • Ability to work collaboratively and effectively in a fast-paced environment, and to manage multiple projects simultaneously.  

  • Good communication (oral and written) and interpersonal skills within and across departments and externally; must be proactive in providing counsel to relevant stakeholders.  

  • A solution-oriented team player, calm under pressure. 

  • Executive Presence - Interpersonal and presentation communication strengths with senior executives.

  • Time/Project Management: Effectively manage multiple, significant activities and respond to changing priorities with minimum disruption.  

  • Problem Solver: Able to drive problem resolution in challenging situations.

Additional Information: 

  • Travel may be up to 20% to support business and legal needs. 

  • The position is preferred to be based at our Los Angeles, CA headquarters, with flexibility for hybrid or remote work arrangements for excellent candidates.

Salary ranges for U.S (excl. PR) locations (USD):$190,400.00 - $285,600.00This position is eligible for a short-term incentive called the Medtronic Incentive Plan (MIP).This position is eligible for an annual long-term incentive plan.The base salary range is applicable across the United States, excluding Puerto Rico and specific locations in California. The offered rate complies with federal and local regulations and may vary based on factors such as experience, certification/education, market conditions, and location. Compensation and benefits information pertains solely to candidates hired within the United States (local market compensation and benefits will apply for others).

The following benefits and additional compensation are available to those regular employees who work 20+ hours per week: Health, Dental and vision insurance, Health Savings Account, Healthcare Flexible Spending Account, Life insurance, Long-term disability leave, Dependent daycare spending account, Tuition assistance/reimbursement, and Simple Steps (global well-being program).
