Main Purpose of the role:

MUFG is seeking an experienced finance attorney to join the Americas Legal Department as a Vice President & Counsel.  The primary responsibility of this position is to support various teams and products within our Global Corporate Investment Bank.  A successful candidate will be familiar with all manners of transaction documentation and legal issues with respect to syndicated credit facilities (both as an administrative agent and lender), secured and unsecured bilateral credit facilities, letters of credit and other various credit products, such as direct lending facilities, cross-border lending, project finance and middle market lending.  Additionally, experience with restucturings, both in and out of court, would be beneficial.

Key Responsibilities:

  • Review, draft and negotiate documentation for and provide legal advice related to:
    • Bilateral facilities.
    • Syndicated facilities (as a lead lender/agent or lender);
    • Letters of credit; and
    • Other credit products.
  • Advise and assist business units in the development and structuring of new and complex products.
  • Support new initiatives within the Americas Legal Department and MUFG as a whole.
  • Directly interact with MUFG’s clients, both in negotiating agreements and in assisting the business unit in explaining products to clients.
  • Advise on the legal, regulatory and reputational issues and risks arising in transactions and in the non-transactional aspects of the operation and business activities of MUFG (regionally and internationally as required) and work closely with the wider Americas regulatory and international legal teams to serve business seamlessly.
  • Manage the legal spend with respect to the business area including management of relationships with and selection, retention and costs of external counsel.
  • Provide training on legal and regulatory issues.
  • Participate in internal working groups and committees as relevant.
  • Advise on, participate in and assist in the implementation of new projects, new businesses and other enterprise initiatives.

Skills and experience:

  • Qualified in NY with a minimum of three years of relevant experience.
  • Experience with a top law firm and/or experience working in-house within a financial organization.
  • Ability to look at unfamiliar or new product areas and be able to analyze the relevant issues.
  • Ability to demonstrate a high degree of commercial awareness and to make sound judgment calls in a fast-moving business environment, together with an ability to identify and manage contractual risk.
  • Ability to recognize problematic issues and to plan and execute strategies for addressing.

The typical base pay range for this role is between $172K - $222K depending on job-related knowledge, skills, experience and location. This role may also be eligible for certain discretionary performance-based bonus and/or incentive compensation.
