Babylon Labs is seeking an experienced and motivated Associate General Counsel to handle commercial transactions, collaborations, and licenses. The ideal candidate will have a deep understanding of blockchain technology, digital currencies, and global regulatory frameworks. This role involves supporting Babylon’s expanding ecosystem of partnerships, managing complex transactions, and providing strategic legal guidance across global projects. We are seeking two attorneys for similar roles, but with different levels of experience and accomplishments. Both will report to the General Counsel.
Key Responsibilities:
Create, review, negotiate, and manage a variety of agreements, including channel/partner agreements, marketing agreements, SaaS subscriptions, and licenses supporting our global ecosystem collaborations.
Collaborate closely with our operations, marketing, infosec, and R&D teams to achieve business goals.
Handle data privacy (GDPR, CCPA, etc.) and security issues in a variety of transactions.
Maintain a high level of internal client and external customer satisfaction while promoting scalable legal processes and procedures.
Qualifications:
J.D., LLM or equivalent degrees with active bar membership in good standing in the country of practice
7+ years of experience as in-house counsel and at an established, top-tier law firm.
Significant experience drafting and negotiating business development transactions, commercial transactions, joint marketing agreements, distribution agreements, open-source licenses, and SaaS licenses.
Strong background in blockchain technology and the blockchain industry.
Deep understanding of regulatory issues related to digital currencies, blockchain technology, payments, and privacy regulations.
Expertise in GDPR, CCPA, and related privacy regulations, including experience reviewing Data Processing Agreements (DPAs) and advising on complex compliance and information security matters.
Proven ability to work closely with cross-functional teams to build new products, address complex legal issues, and develop strategies for growth.
Experience in various worldwide jurisdictions and comfort managing legal matters in a global, cross-border setting.
Ability to execute with minimal supervision, balancing commercial and legal realities, while managing shifting priorities in a demanding, fast-paced environment.
Nice to Haves:
Experience drafting, negotiating, and managing large private placements or similar investment transactions.
Experience managing board resolutions and corporate minute books.
