Job Description

Linklaters LLP seeks Associate (Mid-Level) in New York, NY in the Investment Funds Practice Group, under supervision of partners to: advise sponsor clients on formation, operation and governance of private investment funds (including U.S. domestic and cross-border funds), including drafting limited partnership agreements, investment management agreements, side letters and other ancillary documents and negotiating with investors. Advise institutional investors with respect to investments in private investment funds, including private equity funds, real estate funds, credit funds, buyout funds, both domestically and internationally. Perform legal research and assist with business negotiations with respect to a variety of transactions such as internal reorganization, transfers or portfolio maintenance. Coordinate with specialists and junior associates as part of legal due diligence process to assess the potential risks of transactions and advise clients on regulatory and corporate issues. Communicate and coordinate with clients throughout transaction process. Advise clients on changes in laws and regulations relating to securities, investment transactions and corporate governance matters. Assist partners with business development, extensive direct client contact and relationship associate for repeat clients. Oversee junior associates in researching, analyzing, reviewing and drafting memoranda, due diligence reports, contracts, agreements, legal opinions, side letters, and other legal documents relating to fund formation transactions and fund investments, and review and revise drafts of memoranda, due diligence reports, contracts, agreements, legal opinions and other transaction documents prepared by junior associates.  Review and evaluate junior associates and participate in formal training of junior associates.  Review and evaluate summer associates and participate in formal training of summer associates.  Admitted to practice of law in the State of New York. 

Requirements: J.D. or foreign equivalent. Experience in job offered or related occupation must include at least three (3) years of experience at an international law firm: advise on domestic and international investment transactions, including: advising on formation and operation of investment funds (including private equity funds, real estate funds, credit funds, secondaries funds) representing institutional investors and conducting due diligence and negotiating with fund sponsors, advising reporting persons and exempt-reporting persons on securities law-related requirements; advising clients on any other private fund legal inquiries relating to corporate, partnership and securities law matters; develop and present training materials for summer and junior associates; and execute on certain business development and internal firm administrative initiatives. Must be admitted to the practice of law in the State of New York. Telecommuting and/or working from home may be permissible pursuant to company policies. When not telecommuting, must report to work site.

The base salary range offered for this role will be between $260,000 and $365,000 per year. 40 hours per week and represents the firm’s good faith and reasonable estimate of the range of possible compensation at the time of posting. Actual compensation will be dependent upon a number of factors including, but not limited to, the candidate’s relevant experience, performance, qualifications, as well as the needs of the firm. The total compensation package for this position may include discretionary bonuses and other benefits.
