JOB SUMMARY
Practices as a senior attorney and addresses legal matters for the company at a highly advanced level on a broad range of complex issues within the Corporate and Securities practice group in the Legal Department. Provides advice and training and may review the work of lower-level employees.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Addresses the most complex issues falling in the Corporate and Securities practice group, which generally assists the Corporate Secretary with fulfilling all Corporate Secretary duties; provides legal support, counseling and assistance with financial reporting, completion of corporate financings, investor relations matters and other public disclosure matters; manages matters related to corporate governance; and provides legal support to the company regarding general corporate matters.
- Analyzes complex issues, resolves problems and provides expert information to internal clients on complex issues; provides legal counsel to company management and personnel on a broad range of issues that present varied and difficult problems of interpretation and analysis.
- Contributes to development of Securities and Exchange Commission filings, including Forms 10-K, 10-Q, and 8-K, Federal Energy Regulatory Commission financial reports and bondholder statements.
- Provides legal support in completion of debt and equity financing transactions and ongoing compliance obligations stemming from finance document covenants and commitments.
- Monitors changes in securities laws and regulations and provides opinions to supervisor on substance and impact on the company related to such changes.
- Provides legal support to the corporate development of transmission projects, commercial transactions such as asset acquisitions and sales and potential merger and acquisition activity.
- Participates in negotiation of agreements, due diligence, management of closing activities and establishment of necessary corporate entities to complete corporate transactions.
- Counsels, assists and prepares certain corporate policies and procedures.
- Advises and advocates on behalf of the company with advanced skill on complex issues.
- Reviews contracts and other legal documents; manages or participates in handling contract negotiations; advises company employees on terms of legal documents and potential impact on the company.
- Analyzes and reviews statutes, regulations, orders, case law and other precedent or rules and advises company personnel on substance and impact on the company related to such issuances.
- Conducts legal research and analysis of statutes, case law, agency orders and other precedent as necessary; counsels company personnel on legal matters through verbal and written communications.
- Manages outside counsel and other vendors retained to assist on Legal DepartmentĀ matters.
REQUIREMENTS
- Juris Doctor from an American Bar Association accredited law school.
- Licensed to practice law in any state or District of Columbia.
- Minimum of eight (8) years' experience as a practicing attorney.
- Securities law experience.
- Experience with corporate and financing transactions.
- Experience in a leadership role (such as managing projects, processes, or a legal practice or practice area) is preferred.
- Ability to assume leadership role in company initiatives and projects.
- Demonstrates creativity in approaching problems.
- Demonstrates risk and compliance awareness when supporting complex projects or making strategic decisions.
- Ability to work independently in area of responsibility and manage projects.
- Ability to effectively conduct research of legal precedent and other information related to performance of job duties.
- Possesses superior analytical problem-solving and documentation skills.
