Job Description

Role and Responsibilities

Contract Management

  • Review, draft, and negotiate a variety of contracts, including vendor agreements, customer agreements, master service agreements, nondisclosure agreements, and employment-related contracts.
  • Analyze contract terms to ensure compliance with legal, regulatory, and company requirements.
  • Manage the contract lifecycle from initiation through execution, renewal, and termination.
  • Maintain a centralized contract database, ensuring accurate tracking of obligations, deadlines, and renewals.

Risk & Compliance

  • Identify and assess potential legal and business risks in contracts and recommend mitigation strategies.
  • Support the development and implementation of corporate risk management policies and procedures.
  • Assist in conducting risk assessments and audits related to contracts, compliance, and company operations.
  • Ensure adherence to internal policies, industry regulations, and applicable federal and state laws.

Legal Support

  • Conduct legal research to support contract negotiations, compliance initiatives, and litigation matters.
  • Prepare and maintain legal documents, reports, and correspondence for internal and external stakeholders.
  • Assist in managing claims, insurance matters, and litigation files as needed.
  • Serve as a liaison between the legal department, operations, procurement, HR, and finance teams.

Other Responsibilities

  • Provide training and guidance to staff on contract compliance and risk awareness.
  • Support the legal team on special projects, investigations, and due diligence reviews.
  • Perform other related duties as assigned.
  Qualifications and Education Requirements
  • Bachelor’s degree required (Legal Studies, Business, Risk Management, or related field preferred).
  • Minimum of five (5) years of professional experience reviewing, drafting, and negotiating contracts in a corporate or in-house legal department setting.
  • Strong knowledge of contract law, risk management, and compliance principles.
  • Paralegal certification (CP, CLA, or equivalent) preferred.

 

Physical Requirements

  • Prolonged periods sitting at a desk and working on a computer.
  • Ability to lift up to 15 pounds, as needed.
  • Standard office environment with extended periods of computer use.
  • Occasional travel may be required for meetings, training, or contract negotiations.
  • The employee must be able to perform the essential functions of the job with or without reasonable workplace accommodation.

 

The individual must also be able to wear and properly utilize appropriate personal protective equipment (PPE) to work or visit within areas where it is required. This includes hard hat, safety glasses/spoggles, respirators, ear plugs, steel toed shoes, or other protective equipment as required by the work performed and location the work is being done.
