
Corporate Transactions Associate

Salary: $200,000 to $300,000 per year
Our firm is partnering with a top-tier, nationally recognized legal practice in Atlanta to identify a highly motivated and skilled mid-level Corporate Transactions Associate with ideally 4-6 years of experience in Complex Commercial Transactional Law.
Key Responsibilities:
This role involves providing comprehensive legal counsel and execution in a range of corporate transactions. Primary responsibilities include:
- Managing all aspects of mergers and acquisitions (M&A) transactions, including due diligence, drafting and negotiating transaction documents (e.g., purchase agreements, merger agreements, term sheets), and overseeing deal closings.
- Handling leveraged buyout transactions, including financing agreements and related documentation.
- Advising on corporate governance matters, ensuring compliance with relevant regulations and best practices.
- Structuring and executing complex commercial transactions.
- Conducting in-depth legal research and analysis on relevant issues.
- Interacting with clients, investment bankers, and financial advisors.
- Collaborating with subject matter experts across various practice areas within the firm.
Required Skills and Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the State Bar of Georgia or willingness to obtain admission promptly.
- 4-6 years of relevant experience in M&A, leveraged buyouts, corporate governance, and complex commercial transactions within a sophisticated law firm setting.
- Strong understanding of relevant laws, regulations, and industry practices.
- Exceptional analytical, research, and problem-solving skills.
- Excellent written and oral communication skills, including the ability to draft and negotiate complex legal documents.
- Demonstrated ability to manage client engagements effectively.
- Keen attention to detail and strong organizational skills.
- Ability to work collaboratively in a team-based environment.
- Strong work ethic and a high degree of responsibility and initiative.
Preferred Qualifications:
- Experience with ESOP M&A transactions is a plus.
