Position Summary
We are looking for a senior corporate attorney who will lead our corporate legal team and be a partner to our businesses with responsibility for a broad range of corporate, transactional and regulatory matters across our global organization. This position requires deep experience in public company representation, public and private securities transactions and compliance, mergers and acquisitions, joint ventures, executive compensation and corporate governance. This role requires entrepreneurial leadership in strategy, program building and talent management.
Responsibilities & Duties
- Be a business partner and problem-solver to other departments, driving and/or supporting transactions, initiatives, projects and activities across our global organization
- Oversee our corporate legal team, services and functions
- Manage transactions and projects with cross-functional global teams
- Research and provide advice on a wide range of matters, including commercial and business initiatives/transactions, global securities law and other regulatory compliance and general corporate legal affairs, policies and procedures for a publicly traded, global real estate investment trust and public and private ventures and funds
- Draft, prepare and/or review SEC, NYSE and other regulatory reporting
- Drive and/or support public and private debt and equity offerings, financings, M&A, and joint venture, fund, customer product, services and solutions and other commercial transactions
- Oversee stock plan administration, proxy/annual meeting strategy, process and filings, and compensation/governance stockholder communications and ratings analysis and management. Support compensation and benefits programs.
- Address needs of our board and manage our governance platform. Research and prepare governance and board materials and communications
- Negotiate, draft and/or review contracts, correspondence, and other documents and provide advice on related matters
- Review corporate, investor, marketing, media and other communications
- Research and provide guidance regarding compliance, regulations, policies, procedures and other matters
- Develop and manage team talent
- Create and implement training across cross-functional and cross-regional teams
- Efficiently manage internal and external resources
- Set strategy and goals and track metrics for corporate legal department with CLO and legal management
- Oversee and support corporate legal billing, tracking, budgeting, data analytics and system/process improvements, including the implementation of technology solutions
- Support projects, activities, systems and management of the legal department and the office of the CLO
Required Education, Experience, & Skills
- Juris Doctorate required, licensed and in good standing to practice law
- 15+ years working experience as a corporate attorney--preferably with experience in a top tier national/international law firm and in-house in a publicly traded company with global operations
- Experience in public company representation, securities offerings and compliance, corporate governance and executive compensation required
- REIT experience a plus
- User-friendly, customer service-oriented and responsive
- Practical with business acumen to strategically manage risk while achieving business goals
- Strong interpersonal and communication skills with ability to collaborate and communicate effectively with individuals across departments and levels, including our board, C-suite, business leaders, investors and other internal and external stakeholders
- Critical thinker with strong analytical, problem-solving and research skills
- Results-oriented with significant project, time and budget management experience
- Proven track record of strong negotiation skills
- Experienced and motivated to build team talent (including cross-regional and cross-functional teams). Builds trust with internal and external stakeholders.

Hiring Salary Range of: $249,000 - $311,000. Salary and whole compensation package (bonus target & LTI) to be determined by the candidate’s location, education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data.
