Provides high-level legal and operational support to the Chief Legal Officer (CLO) across corporate governance, board and committee administration, entity management, compliance program development/ execution, and corporate transactional work. The role maintains audit- and diligence-ready corporate records and governance documentation (minutes, resolutions, written consents, bylaws/charters), prepares executive and board materials, and coordinates information flow with internal stakeholders. It also develops and maintains compliance policies, procedures, controls, and training; monitors obligations across business units; partners on investigations/audits and risk assessments; and helps streamline contracting and internal policy adherence—enabling efficient strategic execution, reducing enterprise risk, and supporting scalable growth.
Responsibilities
Direct Support to the Chief Legal Officer
- Serve as a primary legal resource on corporate governance, corporate transactional execution, and corporate housekeeping matters.
- Prepare materials, analyses, and documentation for executive leadership, the board, and external stakeholders in partnership with the CLO.
- Conduct research, draft presentations, and help manage workflows to advance legal department initiatives.
- Corporate Governance & Records Management
- Maintain corporate books, minutes, resolutions, and governance records.
- Draft and update foundational governance documents, including bylaws, charters, and written consents.
- Ensure governance practices align with best-in-class standards and prepare for audits, diligence, and investor requests.
Board & Committee Support
- Operate as Assistant Secretary for the Board as directed by the CLO.
- Prepare board and committee meeting materials, including agendas, minutes, resolutions, and annual calendars, in coordination with the CLO.
- Coordinate with internal teams and the CLO to ensure timely information flow to directors and committee members.
- Manage director onboarding, annual evaluations, and related governance processes in partnership with the CLO.
Compliance Program Development & Management
- Develop, implement, and manage the company’s compliance program under the direction of the CLO.
- Draft and maintain compliance-related policies, procedures, controls, and training materials.
- Monitor compliance obligations across business units and escalate issues as needed.
- Partner on internal investigations, audits, risk assessments, and compliance reporting.
- Serve as a resource to business teams on compliance requirements and best practices.
Entity Management
- Manage domestic and international entity formation, qualification, maintenance, and dissolution.
- Coordinate and track the filing of annual reports, licenses, and jurisdictional compliance requirements.
- Maintain accurate organizational charts and legal entity profiles.
Commercial & Internal Policy Support
- Provide commercial contract drafting and review support to reduce bottlenecks and maintain consistency with corporate standards.
- Develop internal corporate policies with the CLO and drive adherence to governance and operational standards.
- Evaluate risk and identify issues across internal processes and commercial activities; recommend mitigation steps as appropriate.
Minimum Qualifications
- Juris Doctor Degree, licensed to practice law in applicable state
- Minimum 8 years of legal experience (preferred: 10–12 years) in a construction law practice or corporate legal department.

- Experience with the preparation, review, and negotiation of design and construction contracts

- Experience managing corporate governance and board support, maintaining corporate records and entities, driving compliance program execution, and providing transactional, contracting, and policy guidance
