OVERVIEW:

This position is intended for a mid-level, business-minded transactional attorney who will work in a dynamic team environment within the Legal Department, primarily serving the company’s Real Estate, Development, Construction and Real Estate Management groups in connection with the expanding real estate pipeline and portfolio.  Requisite experience includes knowledge and familiarity with the preparation, negotiation and analysis of leases, complex lease amendments, purchase and sale agreements, reciprocal easement agreements, site development agreements, financing instruments, SNDA’s, letters of intent, and all other ancillary documents related to the program.  Retail, tax, finance and/or M&A experience are a plus.

Role Responsibilities:

Support the Repositioning of our Retail Chain:

  • Draft, negotiate and oversee all documentation relating to retail real estate transactions, including leases, purchase and sale agreements, reciprocal easement agreements, site development agreements, financing instruments, SNDA’s, letters of intent and all other ancillary documents related to the program

Maintain/Enforce/Revise Existing Lease Agreements:

  • Track, draft and negotiate letters of intent and binding agreements for renewals of existing leases; remodels of existing stores; and transfers of excess property

  • Monitor compliance with real estate-related contractual obligations and pursue non-compliance, including negotiating and drafting amendments to resolve issues

  • Negotiate and draft other amendments, waivers, consents, estoppels, SNDAs

Provide Legal Counsel to Internal Clients:

  • Counsel and advise management on real estate matters

  • Legal support to Real Estate, Development, Construction, Facilities and Real Estate Management Departments

Manage Third Party Relationships Related to Real Estate Portfolio:

  • Oversee and manage outside counsel in their preparation and negotiation of all documentation relating to real estate transactions

  • Review and manage outside counsel fees to predetermined budgets

  • Provide support and, where necessary, manage real estate-related litigation including, but not limited to mechanics' liens and construction cost disputes

QUALIFICATIONS:

  • Advanced Degree

  • JD Degree

  • 3-5 years of experience

  • Experience practicing law, preferably in a law firm or corporate legal department.
