Position Summary: We are seeking a highly organized and detail-oriented General Counsel Paralegal with a focus on Business Law, Corporate Compliance, and Transactional work. The ideal candidate will possess excellent communication and organizational skills and will support our General Counsel Team in managing the company’s legal affairs, ensuring compliance with relevant laws and regulations, and facilitating business transactions.
Key Responsibilities:
Business Law Support:

- Assist in the preparation, review, and management of contracts, agreements, and other legal documents.
- Conduct legal research and provide summaries and analyses on various business law issues.
- Support the General Counsel and Assistant General Counsel in litigation matters, including the preparation of pleadings, discovery responses, and other legal documents.
Corporate Compliance:

- Assist in developing, implementing, and maintaining corporate compliance policies and procedures.
- Monitor changes in relevant laws and regulations and advise the General Counsel and Assistant General Counsel on necessary updates to compliance programs.
- Prepare and maintain corporate records, including minutes of board meetings, resolutions, and other corporate documents.
Transactional Work:

- Assist in the negotiation, drafting, and review of transactional documents, including mergers and acquisitions, joint ventures, and other business transactions.
- Conduct due diligence investigations and prepare reports for review by the General Counsel.
- Coordinate and facilitate the closing of transactions, ensuring all necessary documentation is executed and filed appropriately.
Communication and Coordination:

- Serve as a liaison between the General Counsel Team and internal departments, external counsel, and regulatory agencies.
- Manage and prioritize incoming correspondence, emails, and calls, ensuring timely responses and follow-ups.
- Organize and maintain legal files and databases, ensuring all documents are easily accessible and up to date.
Administrative Support:

- Schedule and coordinate meetings, appointments, and travel arrangements for the General Counsel and Assistant General Counsel.
- Prepare and distribute meeting agendas, minutes, and other related documents.
- Handle confidential and sensitive information with the utmost discretion and professionalism.
Qualifications:
Education:
-
- Bachelor’s degree in Paralegal Studies, Business Administration, or a related field is desired.
- Paralegal certification from an accredited institution is preferred.
Experience:
-
- Minimum of 3-5 years of experience as a paralegal, with a focus on business law, corporate compliance, and transactional work.

- Ability to manage multiple tasks and prioritize effectively in a fast-paced environment.

Additional Desired Attributes:

- Generalist background, with experience in personal injury, litigation, employment law, intellectual property or other diverse area of law.
- Experience collaborating with accounting or finance teams, particularly in support of compliance, reporting, or internal controls.
- Skilled in using Excel for data tracking and analysis, PowerPoint for executive-level presentations, and process mapping tools to document and improve internal workflows in support of legal and operational initiatives.
Physical Requirements:
- Office environment with normal business hours necessary to satisfactorily perform job functions.
- Stationary Position – Must be able to remain in a stationary position up to 50% of the time.
- Move or Traverse – This position needs to occasionally move about inside the office to access file cabinets, meeting rooms, office machinery, etc. May occasionally ascends/descends the stairs to get to other floors, cafeteria and parking area.
- Dexterity – constantly operates a computer and other office machinery such as a copy machine/printer.
- Move, Transport, Position, Put, Install, Remove - Occasionally moves supplies weighing up to 10 pounds for various presentation and event needs.
