Summary

The Paralegal assists with legal matters for APCO Holdings and all companies within its corporate structure (the “Company”).  The person in this role will perform various duties and tasks that support lawyers, the legal team, and departments across the Company, such as  conducting relevant research, drafting documents, creating and updating spreadsheets, statute/regulation interpretation, and directly assisting the VP of Legal with matters related to litigation/arbitration and merger & acquisitions.  This role requires a high degree of professionalism in all interactions and communications with team members, all levels of management and departments across the Company, external vendors, insurers, and regulators. The Paralegal will, from time to time, become privy to information that is privileged, confidential and/or proprietary; accordingly, maintaining strict confidentiality of such documents and information is critical to this role.

 

Essential Duties and Responsibilities

  

  • Provide support to internal departments regarding legal related queries.
  • Maintain a positive working relationship with all internal parties as well as external third parties.
  • Cross-train on other areas of responsibility within the Legal team and assist team members as necessary.
  • Legal research and preparation of research memos.
  • Draft Demand Letters. 
  • Secure DBA’s for entities purchased by Company.
  • Organize and archive documents related to completed and ongoing litigation and arbitration cases.
  • Conduct research, investigate facts, access on-line dockets, and provide support to VP Legal for litigation and arbitration matters.
  • Prepare and file documents with courts/arbitration entities.
  • Provide support to VP Legal for M&A matters including preparation of spreadsheets and preparation of Notices of Assignment.
  • Perform research as needed to update existing 50 state surveys.
  • Review NDA’s prepared and submitted by external entities and provide guidance to business units regarding acceptability pursuant to Company’s risk tolerance; Review proposed edits to APCO’s template NDA and provide guidance to business unit regarding acceptability pursuant to Company’s risk tolerance. Coordinate execution of NDA’s via DocuSign.
  • Review bankruptcy notices to determine if status of debtor is adverse to Company and collaborate with business unit for further action which could include but not be limited to  taking no action, responding to court/trustee, termination of relationship with debtor.
  • Assist and/or manage projects related to integration efforts of the Company.
  • Complete ad hoc special analysis, reviews, and projects as assigned. 

 

Education and Experience

  • Bachelor’s Degree.
  • Paralegal certificate. 
  • Some experience as a paralegal in an office environment preferred.
  • Experience with or knowledge of automobile dealership F&I process and/or products preferred, but not required.

  • Must have the highest ethical standards and the ability to maintain strict confidentiality of privileged, confidential and/or proprietary Company information.
  • Must have high proficiency in use of Microsoft Office suite (e.g., Word, Excel, PowerPoint).

 

Physical Demands

While performing the duties of this job, the employee is regularly required to type and look at a computer screen for long periods of the day. The employee must be able to sit for long periods of time.
