- Lead and support corporate governance matters, including board support, entity management, subsidiary oversight, and corporate record maintenance.
- Advise executive leadership on legal considerations related to business scaling, new market entry, and operational expansion.
- Serve as a strategic legal advisor to the CEO, Chairperson, and Senior Management team.
- Draft, review, and negotiate complex commercial agreements, including customer agreements, strategic partnerships, joint ventures, and vendor contracts.
- Support financing transactions, including private placements, debt instruments, equity raises, and bond issuances, in collaboration with internal stakeholders and outside counsel.
- Provide legal support for energy-related commercial structures such as PPAs, ESAs, and long-term service agreements from a business risk and financial perspective.
- Support mergers, acquisitions, divestitures, and strategic investments, including due diligence, transaction structuring, and post transaction integration.
- Coordinate with finance, tax, and external advisors to ensure transactions align with corporate strategy and risk tolerance.
- Manage legal workstreams for corporate development initiatives.
- Oversee enterprise legal risk management and compliance frameworks across U.S. and international operations, including governance, contracting, and financing activities.
- Ensure compliance with applicable securities laws, private placement regulations, disclosure obligations, and ongoing investor reporting requirements, coordinating as needed with the General Counsel responsible for engineering and intellectual property matters.
- Provide legal oversight and support for capital markets activities, including debt offerings, bond issuances, and other structured financing transactions, in coordination with finance and external advisors.
- Monitor and advise on regulatory requirements applicable to infrastructure, energy, and long-term service businesses, including contractual, financial, and operational compliance considerations.
- Identify, assess, and proactively mitigate legal, regulatory, and reputational risks associated with business scaling, new revenue models, and strategic transactions.
- Support the development and maintenance of internal compliance policies, controls, and training programs appropriate for a growth stage company with increasing capital markets exposure.
- Work closely with Finance, Operations, Sales, HR, and Engineering leadership to support business objectives.
- Translate complex legal concepts into practical business guidance for non-legal stakeholders.
- Manage and supervise outside counsel efficiently and cost effectively.
- Develop and implement scalable legal processes, templates, and playbooks to support rapid growth.
- Assist in employment law matters, executive compensation structures, and HR related legal issues.
- Maintain strict confidentiality of sensitive corporate and transactional information.
- Juris Doctor from an ABA accredited law school
- Active Florida Bar membership in good standing
- 8+ years of progressive legal experience in corporate law, commercial transactions, or in-house legal roles
- Prior in-house experience supporting a growth stage, infrastructure, or technology driven company
- Demonstrated experience with corporate governance, commercial contracting, and complex business transactions
- Strong business judgment with proven ability to align legal advice to strategic and financial objectives
- Excellent drafting, negotiation, analytical, and problem-solving skills
- Proven ability to manage multiple priorities in a fast-paced, evolving environment
- Strong communication skills with the ability to advise senior executives and business leaders
- Experience supporting mergers and acquisitions, financing transactions, or capital markets activity
- Energy, utilities, infrastructure, data center, or industrial industry experience
- Experience working closely with boards of directors and executive leadership teams
