JOB SUMMARY
CHG Group, Inc. (CHGi) is the U.S. headquarters of Chemring Group PLC (PLC). The Deputy General Counsel for CHGi will be responsible for assisting the U.S. General Counsel with providing a broad array of legal advice and services to CHGi’s U.S. businesses. The position will report directly to U.S. General Counsel and will serve in a generalist capacity, with particular focus on federal government contracting as well as a variety of other areas including contract negotiation, dispute resolution and employment matters. As part of the Legal Team, you will work on high priority initiatives, working directly with senior leaders to support CHGi's continued growth. The team at CHGi is fast-paced, agile and passionate. The candidate chosen for this position will excel at collaborating with stakeholders across the businesses and communicating effectively within their Legal Team and at all levels of the organization.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Support the U.S. General Counsel in directing and managing the Company’s legal affairs
- Provide legal advice to senior executives, directors, managers and staff to ensure that decisions taken are legally correct and that the Chemring Group’s interests are protected
- Draft and negotiate complex agreements between the U.S. businesses and third parties, to include subcontracts with USG Prime contractors, supplier contracts, and IP-related contracts, among others
- Ensure that there are adequate procedures in place at the U.S. businesses to maintain compliance with applicable laws in the U.S. and any other territories in which they operate
- Provide training, both virtually and in-person, to Chemring employees on relevant legal topics
- Maintain an awareness of developments in the legal field which might affect the U.S. businesses and prepare reports on relevant matters as necessary
- Provide legal support to HR regarding employment law matters and to HSE regarding workplace safety matters and requirements
- Interact with insurers regarding covered claims
- Lead compliance of the U.S. businesses with the company’s anti-bribery policies and procedures
- Management of litigation and regulatory investigations
- Liaise with the PLC legal department regarding U.S. legal matters and law
- Provision on an ad hoc basis of advice to non-U.S. Chemring businesses regarding U.S. legal matters

- Abide by the terms and conditions of the CHGi Special Security Agreement (SSA) and all relevant supporting materials

SUPERVISORY RESPONSIBILITY

EDUCATION
- Juris Doctor degree from accredited law school and licensed to practice in at least one US jurisdiction
EXPERIENCE
- Qualified and actively licensed US attorney with a minimum 10 years’ experience as a practicing lawyer, preferably with significant government contracting law background
- In-house legal experience highly desired

- Strong time management and problem-solving skills. Organized, punctual, and deadline-driven
- Sound judgment and ability to balance legal risks with business objectives in a fast-paced environment
- Ability to work independently and prioritize. Team player who proactively pitches in where needed
- Must have the highest level of ethics and integrity
- Must be eligible to obtain and/or maintain a U.S. Government Security Clearance commensurate with the level of facility clearance, as needed
- Proficiency with MS Office products
- Ability to identify key barriers/core problems and identify solutions
- Knowledge of contracting, negotiating and change management
PHYSICAL AND OTHER REQUIREMENTS
Incumbent has opportunity to work a hybrid remote schedule. Onsite three days per week, with remote option two days per week. Travel occasionally, up to 15%.
Lifting, carrying, pushing, pulling or otherwise moving objects weighing up to 10 pounds occasionally and/or a negligible amount of weight frequently. Involves sitting most of the time but may involve walking or standing for brief periods of time. Use of computer.
COMPENSATION
CHGi's current salary range for this role is $225,000 to $275,000/year. At CHGi, compensation decisions may vary based upon, but not limited to education, skills, experience, proficiency, performance, shift, location and geography. In addition to base salary, the total compensation package may also include participation in a bonus, commission or incentive program.
