Located in Houston, Texas; reporting to the Associate General Counsel will support the Company’s legal team with a wide range of tasks, including drafting and reviewing legal documents, litigation, corporate transactions, contract maintenance, and regulatory compliance, among others.
Duties and Responsibilities
- Works closely with lawyers and various departments within the Company to provide comprehensive legal support.
- Assists in general corporate housekeeping matters including entity formation, entity dissolution, entity foreign qualifications, drafting, filing and managing various business entity documents with State agencies.
- Assists with regulatory compliance and ensure that all legal documentation is accurate and up-to-date.
- Assists in the preparation of minutes, resolutions, written consents and officer’s certificates.
- Drafts and reviews legal documents, conducts legal research, and manages case files.
- Monitors agreements, written consents and documents circulated for signature.
- Ensures that legal files and records are maintained in accordance with department requirements and company policies and procedures.
- Assists with corporate transactions and related due diligence.
- Review and administer outside counsel legal invoices.
- Supports the collection, review, and production of documents and responds to discovery requests for litigation discovery and audit-related production requirements.
- Prepares and processes expense reports, codes invoices and maintains files and spreadsheets.
- Provides assistance with miscellaneous administrative task and special projects, as needed. Administrative duties may include assistance with filing, copying, scanning and file retrieval.
- Other duties as assigned.
Qualifications
- A minimum of three years of experience as a corporate, in-house paralegal.
- Oil and gas and contracts management experience preferred.
- Excellent attention to detail
- Experience with MS Excel and Adobe Sign desired
- Positive and professional demeanor
- Effective oral and written communications.
- Must have strong, demonstrated abilities with:
