BBH & Co. is seeking an attorney with deep expertise in technology procurement, including the review and negotiation of complex technology vendor contracts with sophisticated counterparties, and providing counsel to engagement sponsors and key stakeholders throughout the contract lifecycle.  This attorney will be nimble and intellectually curious, be resourceful in resolving issues, demonstrate excellent attention to detail, sound judgment, and able to manage multiple projects concurrently.

WHAT YOU WILL DO

  • Provide advice and counsel to internal contract sponsors, key stakeholders, and control functions on the procurement of technology solutions for BBH globally.
  • Review and negotiate all aspects of vendor contracts covering a broad range of technology purchasing. 
  • Serve as an escalation point and provide collaborative support to contract negotiators on the vendor contracts team.
  • Escalate deviations from BBH contract standards as needed, concisely explaining the legal and business risks and alternatives presented.
  • Facilitate and manage use of outside counsel on negotiation of technology vendor contracts, ensuring that BBH’s vendor contracting standards are met.
  • Create and support the creation and maintenance of templates, policies, procedures and playbooks for vendor contracts.
  • Represent the Office of General Counsel (OGC) and the Vendor Contracts team in meetings and on committees.
  • Provide support for OGC initiatives and matters as needed.

WHAT WE ARE LOOKING FOR

  • Demonstrated expertise in drafting and negotiating agreements for the purchase of technology products and services, including SaaS agreements, software licenses, leases, data center colocation agreements, joint development agreements and outsourcing agreements.
  • Experience in negotiating agreements for AI-based technology solutions, with a strong understanding of the risks associated with inputs to, and outputs from, AI tools, and related contracting approaches.  
  • Deep knowledge of the marketplace, regulatory framework and issues that arise in complex technology procurement agreements, including intellectual property, data security, data privacy, continuity, escrow and related protections.
  • Ability to identify both legal and business risks presented in various types of technology engagements and draft contract terms to eliminate or mitigate those risks.
  • Ability to serve as a trusted advisor to business and technology leadership at BBH, drawing on expertise and experience to explain complex legal and procurement issues in technology and support decision-making on the best path forward.
  • Ability to excel in a fast-paced environment, supporting multiple negotiations, competing priorities and aggressive deadlines.
  • Specific experience reviewing and negotiating market data licenses preferred.

EDUCATION LEVEL AND QUALIFICATIONS

  • Bachelor’s and Juris Doctor from an accredited law school.
  • Must have excellent professional credentials, including at least 7+ years of directly relevant work experience as in-house counsel or through a combination of law firm and in-house roles.
  • Licensed to practice law in good standing, preferably in Massachusetts or New York.
