
The ECEB Paralegal is responsible for performing a broad variety of work during all phases of various transactions within their assigned Partner group and specific practice area. This role works under the supervision and direction of an experienced attorney.
Responsibilities
Assist attorneys with preparation of legal documents, due diligence review and related tasks
Complete forms required for the formation/dissolution/amendment and qualification of corporations, LLC’s and partnerships
Organize and maintain working files and important papers, paper and e-mail correspondence, inter-office memoranda and attorney work product
Organize and maintain due diligence documents
Perform due diligence searches including UCC searches and status of entity searches
Utilize and manage electronic databases
Proofread, organize and track documents; prepare bound volumes following completion of a transaction of necessary documents; organize and distribute post-closing documents
Assist with document/information gathering, exhibit preparation, logistics and coordination of items received
Assist firm’s landman in preparation of lease and well exhibits for mortgages/deeds of trust
Assist firm’s landman to review reserve report information in Excel summaries and determine mortgage coverage percentage
After completion of a transaction:
Assemble, organize and record documentation in records of counties and parishes
File Uniform Commercial Code Financing Statements in various states and if necessary, counties
Prepare and update Recording Schedules for transactions and maintain CD’s of all recorded documents for all transactions
Distribute recorded documents to agent lender with CD; distribute CD’s of recorded documents to borrowers
Stay current on mortgage and Uniform Commercial Code filing requirements in various states
Review confidential Private Equity subscription documents and identify ERISA and affiliates investors
Use Pivot tables to design and produce usable data to meet testing requirements
Review and manipulate Excel spreadsheets based on Private Equity subscription data
Interpret Private Equity Fund structure charts and build out spreadsheet tests reflecting structure
Review transfer documents and update tests
Perform other duties as assigned
Required Skills
Ability to effectively present information verbally and in writing
Ability to proofread for contextual, grammatical and spelling errors
Advanced knowledge of MS Office Suite
Proficiency with Internet research and legal research databases, such as Westlaw and Lexis/Nexis
Can organize, prioritize, plan and multi-task work activities
Ability to work independently or in a team with limited supervision
Excellent organizational and communication skills
Excellent attention to detail
Flexibility to work late and on holidays/weekends, and travel when necessary
Preferred Skills
Knowledge of FileSite preferred
Basic to intermediate knowledge of Excel strongly preferred
Required Education
Bachelor’s degree required
Preferred Education
Knowledge of legal principles and practices acquired through formal paralegal training or its equivalent a plus
Salary Information
NY Only: The estimated base salary range for this position is $60,000 to $70,000 at the time of posting.
The actual salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job. This role is non-exempt meaning that it is overtime pay eligible.
