TI’s legal department is seeking a highly skilled and motivated In-House Counsel – IP Transactions to join our legal team. The ideal candidate will have a strong technology background with deep experience in intellectual property transactions, including structuring and negotiating complex technology agreements involving both hardware and software. This role will partner with cross-functional teams including commercial attorneys, engineering, product management, sales, and business development to support the company’s goals and mitigate risk.

Key Responsibilities:

  • Draft, negotiate and manage IP-related agreements including:
    • Inbound and outbound software and hardware licenses
    • IP indemnification clauses and risk allocation provisions
    • Joint development and collaboration agreements
    • Open-source licensing compliance and strategy
    • Technology transfer, SaaS, cloud services, and OEM agreements
       
  • Support and manage a wide range of IP-related matters, such as:
    • Advising on participation in and contributions to standards bodies, including IP rights disclosure and licensing obligations
    • Supporting M&A and corporate development activity from an IP diligence and integration perspective
    • Supporting adverse matters, indemnity requests, trade secret protection, and suspected infringement/copying
    • Collaborating with outside counsel as needed for specialized matters.
       
  • Stay current on evolving IP law, IP enforcement, and technology law, and educate internal stakeholders.


Qualifications

Qualifications:

  • Bachelor's degree
  • J.D. from an accredited law school with a valid license to practice law
  • 5+ years of legal experience, including at least 3 years focused on IP transactions in a law firm and/or in-house legal department.

 

Preferred Qualification:

  • Strong technical background (bachelor’s or advanced degree in EE or related area) with significant experience working with engineering teams. Deep knowledge of IP law (particularly patent, copyright, and trade secret), and technology contracting practices.
  • Experience with standards organizations and FRAND obligations strongly preferred.
  • Familiarity with international IP and licensing issues preferred.
  • Experience with patent prosecution, patent portfolio development, and outbound patent licensing is a plus.
  • Strong drafting and negotiation skills, with excellent attention to detail.
  • Ability to manage multiple projects and prioritize effectively in a fast-paced environment. 
  • Strong interpersonal skills and a collaborative, pragmatic approach to problem-solving.
