The Community Foundation for Greater Atlanta is one of the 15 largest community foundations in the country and a major force in metro Atlanta, itself one of the nation’s most generous and dynamic areas. This important anchor institution seeks a Paralegal 1 who will support the General Counsel in the Legal Department. This role will provide essential legal and administrative support across a range of matters, including legal research, contract review and preparation, real estate transactions, corporate governance, and file and calendar management. The ideal candidate is detail-oriented, highly organized, and able to work independently in a dynamic nonprofit environment.
Essential Functions of Position
o Legal Support:
o Conduct legal research and draft memoranda on, but not limited to nonprofit governance, contracts, compliance, and real estate.
o Assist in the review, drafting, and management of contracts, policies, and other legal documents to ensure good governance, compliance, and alignment with organizational standards.
o Assist in maintaining corporate records and filings, including board resolutions, meeting minutes, and governance filings.
o Manage legal department administrative tasks, including scheduling, document management, and correspondence.
o Assist with risk management and compliance initiatives as needed.
o Gather and organize documentation for legal proceedings.
o Regularly monitors and reviews the internal contract portal and proactively works to move requests along.
o Supports General Counsel in board of directors, committees, and projects as needed.
o Participates in strategic committees, assisting in policy development and assisting with the production of presentations.
o Support real estate transactions, including preparing closing checklists, reviewing title documents, and assisting with due diligence.
o Conduct research related to housing policies, impact investment requirements, regulations, and best practices.
o Support the Housing Department with file management and record-keeping, as needed.
o Support GoATL/Impact Investing housing initiatives in re: term sheets, contract review, closing documents and document preparation.
o Coordinate with external professionals involved in loan applications, term sheets, closings, and/or investment documentation, as necessary.
o Prepare annual registration filings for CFGA and its supporting organizations with the State of Georgia, and for GoATL Funds with the State of Delaware.
o Provide legal support by reviewing and advising on contracts, agreements, and governance matters related to supporting organizations and strategic initiatives (e.g., Learn4Life, HouseATL, Neighborhood Nexus, and other emerging programs).
o Support compliance activities related to internal and external audits, ensuring adherence to regulatory and organizational requirements.
 
Qualifications

 

• Knowledge of legal principles and practices to assume responsibility of providing support for attorney.

• Associate’s degree or Paralegal Certificate required; Bachelor’s degree preferred.

• Minimum of 5 years of experience as a paralegal or in a similar role.

• Strong understanding of legal terminology and procedures.

• Excellent research, analytical, and organizational skills.

• Strong understanding of real estate transactions, closing procedures and financial records. (preferred)

• Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).

• Strong written and verbal communication skills.

• Strong analytical and problem-solving skills

• Ability to work independently and as part of a small team.

• Attention to detail and a high level of accuracy.

• Interpersonal skills necessary to communicate with a diverse group of professionals, staff, and customers/partners and to provide information with ordinary courtesy, diplomacy and tact.

• Demonstrated organizational, prioritization, and attention to detail skills to allow for timely, effective, and accurate performance of job duties.

• Ability to demonstrate impeccable integrity in confidential matters and handle sensitive information.

• Accurate typing ability of 45 wpm and comprehensive computer and office equipment experience.

• Under certain circumstances the Foundation may substitute experience for educational requirements and vice versa.

The Community Foundation operates in a hybrid working environment with staff working in-office three days per week and the opportunity to work two days remote per week if in good standing.

Compensation

To be determined based upon experience and qualifications within the anticipated salary of $75,000-

$90,000. This position is exempt and employee is eligible for the Foundation’s competitive health and benefits plan:
