ABOUT THE ROLE AND OUR TEAM:

We are a collaborative global legal team that enjoys working on fun and challenging projects together. We are looking for an experienced, business-minded and motivated attorney to serve as a trusted expert on key strategic projects, including complex SaaS/licensing agreements, strategic partnerships, other technology transactions and internal transformation initiatives. 

The Strategic & Technology Transactions Counsel (you!) will work closely with our Corporate Strategy team and other key business stakeholders to help design and execute on company strategic priorities. This is a high visibility position, with significant exposure to senior leadership. This position will report to our VP, Global Corporate and Compliance. 

RESPONSIBILITIES: 

  • Advise on complex technology transactions (both inbound and outbound) including but not limited to drafting and reviewing: licensing agreements, SaaS agreements, services and consulting agreements, co-marketing, eCommerce and other technology, integration, and partnership agreements, in close collaboration with our other legal subject matter experts.
  • Identify and advise business teams on legal considerations involved in company transformational and strategic initiatives, including acting as Legal team POC and “issue spotting” where to bring in legal team subject matter experts or outside counsel support.
  • Support company-wide implementations and initiatives, including researching legal issues related to community, trust and safety policies and new, existing or changing company products, and developing risk-based implementation recommendations.
  • Develop and maintain a global dispute management strategy for Legal and oversee certain key litigation or regulatory matters as requested by management, including managing outside counsel.
  • Collaborate closely with legal and business partners across privacy, product, build, corporate, employment, strategy, sales, marketing, information security, finance and procurement functions to execute key company initiatives.
  • Maintain a high level of professionalism, outstanding business judgment and an innovative approach to legal issues in support of strategic business objectives.
  • Assist with and/or lead on special projects as needed.

SUCCESSFUL CANDIDATES HAVE:

  • JD from an accredited US law school (or international equivalent) and member of the bar in any US jurisdiction with the ability to practice in-house for the company in your jurisdiction. 
  • 5+ years of legal experience post-qualification, which includes at least 2 years of experience in an in-house technology transactions role.
  • Demonstrable experience handling the Responsibilities listed above, including significant experience drafting and negotiating complex technology transactions and strategic partnership agreements.  
  • Experience with a marketplace, ecommerce and/or advertising business is a plus. 
  • Experience with complex litigation and enterprise-wide dispute management is a plus.
  • Strong and effective document drafting and negotiating skills with excellent oral and written communication skills
  • Demonstrated ability to effectively and clearly communicate complex legal issues to business partners.
  • Strong collaboration skills both within and across teams.
  • Exceptionally organized and detail-oriented with an ability to manage multiple projects on aggressive deadlines. 
  • Fluency in Spanish is a plus.
