POSITION TITLE: Corporate Counsel
LOCATION: San Diego, CA (Hybrid Mondays and Wednesdays in our Mission Valley office).
COMPENSATION: $160,000 - $170,000 with bonus potential of $10,000 to $20,000/year
GENERAL JOB DESCRIPTION:
We are seeking an experienced and dynamic attorney to serve as Corporate Counsel, overseeing a wide range of legal agreements across multiple business lines and jurisdictions in the United States and Canada. The ideal candidate will have a proven track record in negotiating, drafting, and managing complex contracts while providing strategic legal counsel to internal stakeholders on various corporate and employment matters.
RESPONSIBILITIES & EXPECTATIONS:
- Lead Counsel for Corporate and Commercial Transactions: Act as the primary legal advisor for all corporate transactional matters, overseeing the drafting, review, negotiation, and redlining of complex contracts across multiple business functions. Key agreements include Staffing Agreements, Managed Service Provider (MSP) Agreements, Vendor Management Systems (VMS), Licensing Agreements, Global Partner Agreements, Data Processing Agreements, Indemnification Agreements, Commercial Real Estate Leases, Vendor Agreements, and Commission Agreements.
- Contract Template Development: Develop and maintain standard contract templates, key clauses, and preferred language for use across client, supplier, and vendor agreements to ensure uniformity, compliance, and legal risk mitigation.
- Employment Law Guidance: Offer legal counsel on a wide range of employment-related matters in both the U.S. and Canada, focusing on wage and hour compliance, hiring/termination processes, employee accommodations, employee handbooks, immigration/I-9 compliance, overtime classifications, independent contractor classifications, background checks, drug testing, sick leave, payroll deductions, and leave of absence issues. Knowledge of ITAR and EAR compliance is also highly valued.
- Training and Development: Design and deliver quarterly legal and compliance training sessions for internal teams on emerging legal issues, litigation trends, and updates on staffing-related laws, wage and hour regulations, and other relevant compliance topics.
- Preferred Experience: Ideal candidates will have experience in the contingent workforce/staffing industry, complex contract negotiations, multi-state and international legal matters, and privacy law compliance.
MINIMUM REQUIREMENTS:
- JD from a nationally recognized law school
- Member in good standing with CA state bar; and
- 5+ years of experience in employment law counseling, commercial contracts, and litigation under applicable federal and state law
It would be great if you had these:
- Experience in the contingent workforce/staffing industry
- Complex contract negotiations experience strongly preferred
- Multistate and international employment law experience strongly preferred
- Privacy law compliance experience a plus
- Litigation experience is a plus
- Outstanding written and verbal communication and analytical skills with demonstrated strategic thinking and risk analysis as well as experience advising all levels of employees, including executives
