Bank of Bird-in-Hand is actively seeking In-House Counsel to join our team in Paradise, PA. This role provides legal guidance and support to ensure our operations align with all applicable laws and regulations.
Responsibilities:
- Draft, maintain and update corporate minutes and records.
- Prepare corporate resolutions and legal memos.
- Oversee the annual meeting and coordinate with external counsel to draft all necessary shareholder documents.
- Coordinate with external legal counsel on litigation matters including contract disputes, consumer litigation, employment actions, intellectual property matters, etc.
- Provide legal advice and guidance to the executive team and other company departments on a wide range of legal issues, including contracts, compliance, and regulatory matters.
- Draft, review, and negotiate contracts, leases, and other legal documents.
- Facilitate compliance with local, state and federal laws and regulations.
- Conduct legal research and stay updated on changes in laws, regulations and industry standards.
Preferred Skills:
- 2 or more years of experience in the banking field and bank-specific compliance
- Previous supervisory/team management experience
Qualifications:
- JD from an accredited law school
- Admission to the Pennsylvania bar and in good standing
- 5 or more years of experience in a corporate legal department, law firm or regulatory agency, with a background in corporate and contract law
