Brown & Brown is seeking a Corporate Legal Assistant for Mergers and Acquisitions. The M&A Legal Assistant will provide assistance and support to a team of transactional attorneys and the paralegal in the Legal Department who perform work in the area of general corporate mergers & acquisitions. Support would include but not be limited to legal document drafting, proofreading, redlining, research, evaluation, organization, analysis and communication of research conducted.
How You Will Contribute:
Provides support to Mergers & Acquisitions (“M&A”) Legal Team.
Prepares, reviews, and revises all acquisition related NDAs and coordinates signatures on same.
Monitors and tracts all acquisition related NDAs and new prospect information in Dynamics 365, SharePoint, and Excel.
Drafts ancillary documents and correspondence.
Collaborates with our external vendors to request necessary information regarding searches and background checks and communicates findings to the appropriate parties.
Researches and reviews insurance license information on each prospect, and reports findings to the relevant parties.
Effectively communicates with our team, other departments, and our vendors.
Prepares and maintains Closing Binders.
Works with our team and other departments on post-closing matters.
Monitors and tracts Earn-Out dates and other important deadlines.
Attend team meetings, conferences, and training sessions as required.
Will need the ability to prioritize multiple assignments while working under pressure to meet important deadlines.
Must be detail-oriented; possess strong organizational skills, and a high degree of accuracy.
Skills and Experience to be Successful
Associates or Bachelor's Degree or Completed and/or currently seeking an A.S. Degree in Paralegal Studies
Proficient with MS Office Suite
Exceptional telephone demeanor
Ability to maintain a high level of confidentiality
1 — 3 years experience in a similar position
