Position Summary

The Corporate Counsel will be part of the corporate transaction team within Life Time’s legal department and be the primary legal support in all areas of commercial contracting.  Our commercial contracts are predominately buy-side vendor contracts but also include sell-side contracts as we support a range of healthy way of life programs and information via our portfolio of more than 175 athletic country clubs and complimentary Life Time Digital app. This individual will play an important role in the Company’s strategic growth and initiatives by providing sound legal advice, exercising problem solving skills and building relationships with key clients and business leaders at Life Time.

Job Duties/Responsibilities

  • Reviewing, drafting and negotiating commercial contracts in a timely and efficient manner, including with respect to:
  • Technology, including cloud-based services (SaaS, PaaS, IaaS) and software licensing
  • Service level agreements
  • Statements of work
  • Data privacy and security agreements
  • Products and services purchases
  • Consulting, work-for-hire and non-disclosure agreements
  • Advertisement and marketing
  • Facility rental agreements, corporate partnership agreements and coworking space agreements 
  • Developing and maintaining effective working relationships with the procurement team and department leads
  • Coordinating input and guidance from specialists in the contract review process as appropriate, including risk, information security, employment and privacy
  • Effectively communicating with clients and other team members, including upper-level management, explaining contractual issues and recommending solutions
  • Assisting in creating, maintaining and utilizing Life Time form contracts and a contract clauses library
  • Providing guidance in due diligence onboarding process
  • Reviewing, interpreting and advising on contract terms such as termination and exclusivity clauses
  • Providing legal support for vendor disputes
  • Assisting in creating, updating and implementing the Life Time Contract Management Policy

Minimum Required Qualifications   

  • Employs in-depth knowledge, experience and judgment to achieve enterprise goals in negotiating contracts with third parties
  • Demonstrates significant knowledge and experience in contract procedures, practices and concepts, including with respect to data privacy and security, employment, service levels, statements of work, representations and warranties, limits of liability and indemnities
  • Demonstrated ability to work independently with minimal oversight and also collaboratively
  • Be a strategic business partner by developing an understanding of the business and being client -focused, responsive and dependable
  • Excellent interpersonal skills
  • Adept at making well-reasoned and defensible risk assessments and providing business clients at all levels with practical, actionable legal advice
  • Provide comprehensive, timely and practical legal advice in a fast-paced, dynamic work environment with an understanding of the client’s sense of urgency
  • Prioritize multiple tasks and adjust workload prioritization based on business needs
  • Demonstrated commitment to maintaining a high level of confidentiality

Education:

  • 4-Year Undergraduate Degree
  • J.D. from an Accredited Law School (we would consider a candidate who has exceptional commercial contracting experience but does not have a J.D.)

Years of Experience:

  • At least three years’ experience in commercial contracting in either a law firm or in-house environment. Demonstrated ability to comprehensively review, draft and negotiate contracts required.
