
POSITION SUMMARY:
General Counsel is responsible for leading corporate strategic and tactical legal initiatives. This position provides board of directors and other peer executives with effective advice on company strategies and their implementation, manages legal function, and obtains and oversees the work of outside counsel. This person is directly involved in complex business transactions. In addition, this person is responsible for directing the following departments: contracts, compliance, and regulatory.
RESPONSIBILITIES:
- Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications
- Serves as key legal advisor on major business transactions and as active member of Company’s executive team
- Provides corporate governance oversight regarding NASDAQ listing rules, SOX and other laws and regulations applicable to a public company, including accurate and timely submission of annual, quarterly and periodic SEC filings and serve as principal contact with company’s external SEC counsel. Acts as stock transfer agent and registrar.
- Advises CEO on corporate governance questions and practices and coordinates communications between the board and shareholders.
- Provides counsel on a variety of legal issues and works with outside counsel regarding litigation or specialty matters. Responds to legal requests including document discovery
- Scope of responsibilities includes but is not limited to contracts and commercial agreements, corporate governance, compliance and regulatory, real estate, employment and litigation counsel, and human resources
- Responsible for review and renewal of corporate insurance policies
- Negotiate and draft agreements regarding mergers & acquisitions, real estate transactions, reinsurance, legal responses, regulatory, compliance, corporate governance, etc.
- Responsible for corporate licensing and regulatory filings for all affiliated and managed companies; manage compliance and regulatory protocols, current and anticipated, at state and federal levels
- Responsible for developing and maintaining Company infrastructure/policies in compliance with current Federal & State requirements
- Responsible for building operations, including real estate sale transaction documents, leasing documentation, relationships with vendors, addressing employee issues as respects work environment and maintenance
- Provide sound legal advice on issues affecting existing and future business where risks and mitigation strategies are clearly identified
- Must maintain consistent presence in office.
- Performs other activities, duties and assignments as needed or requested
QUALIFICATIONS:
- Law Degree and admitted to practice
- 10+ years of legal experience in law firm or corporate setting
- Experience with insurance regulation and compliance
- Must be able to communicate effectively with a variety of contacts, including outside attorneys, senior management and business associates
- Curious by nature and ambitious
- Organized and able to manage multiple projects and priorities
- High degree of confidentiality required
- Experience with corporate governance and working with Board of Directors
- Familiarity with reinsurance law and contracts required

WORKING CONDITIONS
This position is located in a professional office environment. This role routinely uses standard office equipment and requires the physical demands of a normal office position with some light lifting. This is a full-time position with benefits.
