Job Description

Who we are looking for:

First Eagle is seeking an Associate General Counsel for our Alternative Credit Legal team to sit in our Boston office. The successful candidate will be responsible for the following responsibilities and have the following qualifications for this role.   

What you will do:

  • Provide legal support to the investment teams in the structuring, negotiation and documentation of investments.  

  • Be the go to person for investment team process questions. 

  • Involved in review of transaction for compliance with the 1940 Act and exemptive relief, including board interactions as needed.

  • Work with various constituents across First Eagle for the launch of new funds, separately managed accounts and other products.

  • Assist in various capital market transactions. 

  • Develop a detailed understanding of the client’s business risks and business requirements and use this understanding to manage risk and craft creative legal solutions to problems facing the business

  • Work closely with the Chief Compliance Officer and other members of the compliance team.

  • Assist in the negotiation and implementation of contracts, including NDAs, master service agreements and other vendor contracts. 

  • Adapt and adjust job responsibilities to accommodate changing priorities while managing multiple requirements and timelines

The qualities you should have:

  • Undergraduate and JD degree required

  • Member of Massachusetts state bar or the ability to waive into the jurisdiction

  • 6+ years of experience in a variety of aspects of investment management and/or private credit practice, with a preference for in-house experience at a private credit investment management firm

  • Substantial transactional experience doing deals and private fund formation experience. 

  • Knowledge of the Investment Advisers Act of 1940 and Investment Company Act of 1940 or alternative investments and private funds; contract experience required

  • Dynamic and effective communication skills, both written and verbal; excellent interpersonal skills as a team player

  • Ability to connect and engage with the business as good representative for the legal department; build effective relationships to provide guidance on practice and general regulatory concerns

  • Entrepreneurial spirit; ability to implement new measures that promote a culture of compliance

  • Proven decision-making, analytical and problem-solving skills; attention to detail and ability to multi-task well

Base Salary range: $200,000 to $250,000. In addition, this role is eligible for an annual incentive bonus. Compensation may vary based upon, but not limited to – the individual's skills, experience, qualifications, and internal equity.
