Overview

Nelson Mullins, an AmLaw 60 law firm, is seeking a Corporate Paralegal with 3–5 years of relevant experience. The ideal candidate will possess a solid understanding of corporate practices and procedures and a proven track record of working effectively in a corporate legal environment.

A Day in the Life

In this role, you will maintain legal dockets and calendars to ensure critical deadlines and events are met. You will communicate regularly with clients and outside counsel about closing matters, playing an integral part in keeping transactions on track and well-coordinated. You will also support the due diligence process by developing and distributing checklists, reviewing documents, and administering data rooms.

 

Responsibilities include managing the preparation of closing sets and post-closing deliverables, preparing and filing annual reports, promissory notes, leases, and other legal documents, and drafting organizational and formation documents such as Articles of Organization. You will maintain and organize corporate minute books, calculate and coordinate fund disbursements, wire transfers related to transactions and coordinate the execution of consent forms utilizing service companies as Registered Agent.

We Know You

The ideal candidate will have previous experience as a corporate paralegal in a law firm or in-house legal department. A four-year degree from an accredited college or university and a paralegal certificate from an ABA-approved program are required. Candidates must possess excellent organizational, oral, written, and communication skills. The ability to work independently and as part of a team is essential, as is the ability to analyze and interpret information in transactional and corporate documents. Familiarity with computer systems and web-based applications is important, and candidates should be comfortable presenting information and responding to inquiries from attorneys, clients, vendors, and internal stakeholders.
