Education and/or Experience
- A bachelor’s degree and paralegal certification or equivalent work experience;
- A strong understanding of general corporate matters and duties are essential. Must have knowledge of corporate organizational structures, governance and documents, and ability to draft corporate documents and locate and research relevant statutes and regulations;
- Excellent computer skills, such as proficiency with Microsoft programs, Zoom, and Adobe Acrobat. Proficiency with Boardvantage and Navex One would be a strong plus;
- Experience with SEC filing processes is a plus. Familiarity with the underlying documentation (proxy statements and reports on Form 10-K, 10-Q and 8-K) is also desirable;
- Certification as a Notary Public or willingness to obtain certification; and
- A minimum of five years of law-related experience under the supervision of an attorney, and demonstrated evidence of independent judgment, project management and substantive legal research and drafting skills.

Summary
Under the direction and supervision of the Chief Legal Officer, the Corporate Paralegal will assist in a broad range of legal matters with an emphasis on corporate governance, corporate transactions and compliance. The Corporate Paralegal will possess excellent written and verbal communication skills, exercise mature and professional judgment, and have outstanding time management skills.
Essential Job Functions include, but are not limited to the following:

- Assist the entire Compass Minerals Legal Team in a broad range of legal matters, including corporate governance, board of directors support, compliance initiatives, corporate transactions, real estate, regulatory filings, etc.
- Support the global corporate secretary function for both the public company and various other legal entities, including preparation and posting of meeting materials, maintenance of electronic and paper minute books, maintaining a database of all legal entities, and coordinating and drafting meeting minutes, consent resolutions, and other corporate records (e.g., powers of attorney and proxies).
- Support the administration of the Company’s compliance program, insider trading compliance matters, maintain compliance calendar including preparing compliance metrics data reports.
- Work directly with lawyers, EHS and finance teams to review and prepare SEC and NYSE filings and assist with related documents and requirements. Assist with the Company’s proxy statement and coordinate other preparations for the Company’s annual meeting.
- Provide general administrative support to the Legal Team.
- Perform other related duties as required.
