
Job Description:
CORORATE PARALEGAL
This position will serve in a pivotal role within Hilco Global’s Legal Department, working with in-house counsel and paralegal staff to provide paralegal support for corporate and transactional matters.
Responsibilities include:
Performing initial review and revisions of nondisclosure agreements
Assisting with document preparation, document review, recordkeeping and file management
Liaise with outside counsel, Hilco’s business units operating companies, registered agents and service providers, coordinating information and documents on an as-needed basis
Preparing and filing entity formations, amendments, foreign-state qualifications, trade name registrations, withdrawals, annual reports, apostilles/legalizations, and cancellations
Preparing spreadsheets, tables, and organization charts
Maintaining internal tracking and reporting of entity and/or transaction related information
Responding to KYC and UBO information requests
Receiving and responding to SOPs and subpoenas
Performing conflict checks and drafting disclosure schedules
Requirements:
Bachelor’s degree
10+ years corporate paralegal experience, in-house preferred
Significant experience reviewing non-disclosure agreements
Strong written and verbal communication skills
Ease with Microsoft office software, Visio experience helpful
Excellent organizational skills
Ability to handle confidential information with discretion
High attention to detail
Prior experience with all stages of financial transactions, from investment committee to closings

Salary – Targeting $100K Base plus Bonus
