We are seeking a Paralegal with commercial contract experience to become an integral part of our team!

Responsibilities: Reporting to our Corporate Counsel, the Paralegal will be responsible for (but not limited to):
- Preparing customer and vendor agreements.
- Completing questionnaires and forms from vendors.
- Drafting contract templates.
- Maintaining the corporate contract database.
- Assisting with litigation matters, such as consolidating information and drafting responses to respond to discovery requests.
- Providing legal support and guidance to business partners to ensure contract terms meet business needs within acceptable risk tolerance thresholds.
- Identifying contractual risks and providing advice to internal business partners.
- Performing research and analysis on topics relevant to Upstate’s business.
- Ensuring the accuracy of agreements, addendums and amendments.
- Assisting with other issues as identified, including corporate and compliance filings.
- Maintaining confidentiality of sensitive information and handling issues with the highest level of integrity.
- Additional duties assigned by management, as needed.
Qualifications
- Bachelor's degree or Paralegal certificate
- A minimum of five (5) years of relevant experience
- Familiarity with legal concepts such as limitation of liability, indemnification, and confidentiality
- Detail oriented
- Critical thinking
- Strong written and verbal communication skills
- Strong organizational skills
- Must be proficient in Microsoft Word and Excel.
- Must have the ability and desire to learn new programs and systems.
