Job Description

Position Summary:  The Staff Attorney will review and advise stakeholders on various legal agreements, provide advice and conduct risk assessments on behalf of the organization.

Essential Tasks:

  • Contract Drafting and Review: Draft, review and revise various types of contracts, including acquisition and disposition agreements, vendor agreements, service agreements, employment agreements, non-disclosure agreements, and intellectual property licensing agreements.
  • Legal Advice: Provide legal guidance to various departments regarding contract interpretation, compliance issues and potential risks associated with contractual terms.
  • Risk Management: Identify potential legal risks within contracts, propose mitigation strategies and ensure contracts are structured to minimize liability.
  • Compliance Oversight: Ensure contracts adhere to relevant laws, regulations and company policies.
  • Contract Management System: Maintain the company’s contract management system to track contract status, key dates and compliance requirements.
  • Stakeholder Collaboration: Collaborate closely with various departments to understand business needs and translate them into legally sound contractual agreements.
  • Legal Research: Conduct legal research to stay updated on relevant contract law developments and industry trends.
  • Due Diligence: Coordinate and perform due diligence review of acquisition targets.

Experience and Education:

  • Juris Doctor (JD) degree from an accredited law school required
  • 2-5 years’ experience in a corporate (transactional) legal practice
  • Proven experience in contract drafting, review and negotiation.
  • Strong understanding of corporate law and commercial contracts.

Licensing and Credentials:

  • Active licensure and in good standing with relevant state bar required

Systems:

  • Proficient with Microsoft Excel, Word, PowerPoint, and Outlook
  • Proficiency in using and administering CMS platforms preferred

Physical Requirements:

  • Ability to lift 25 pounds
  • Repeated use of sight to read documents and computer screens
  • Repeated use of hearing and speech to communicate on telephone and in person
  • Repetitive hand movements, such as keyboarding, writing, 10-key
  • Walking, bending, sitting, reaching and stretching in all directions
