Associate General Counsel

 

About the Role

This position is offered as a 90-day contract-to-hire opportunity based onsite in Charlotte, NC. The initial contract phase will last approximately 90 days, with the potential for a full-time offer upon successful completion of the contract period. Compensation during the contract phase will be approximately 25% higher than the equivalent salaried rate to reflect the temporary engagement.

In this role, you’ll provide practical legal advice across a range of areas including corporate governance, contracts, compliance, data privacy, and risk management. Working closely with teams across the organization, you’ll play a key part in ensuring that ImagineSoftware continues to grow securely and in alignment with applicable laws and industry regulations.

Essential Duties 

  • Provide strategic counsel on legal and compliance matters.
  • Staying educated on applicable legal and compliance matters.
  • Advance corporate legal initiatives through developing business and industry familiarity, including strong relationships with business partners, clients and vendors.
  • Proactively and creatively evaluate risk factors impacting business decisions, help balance risk management vs. business opportunity, speed, innovation and growth
  • Promulgate a culture of strong adherence to compliance with relevant general data privacy and compliance efforts, including HIPAA
  • Participate in internal training, audits and troubleshooting to confirm patient data always remains safeguarded
  • Evaluate risk procedures and systems that contribute to a goal of zero HIPAA violations
  • Advise product, engineering, and revenue teams on legal risks and how to mitigate, including vetting third party application integrations and data collection practices
  • Partner with and provide guidance to People Operations function on relevant employment law and risk areas
  • Ability to manage external legal teams
  • Advises on litigation strategy as needed
  • Ability to communicates pertinent legislative and regulatory changes
  • Will assist in company M&A efforts by running the legal due diligence process for each and providing operational data supporting management capacity, integration complexity and other key considerations
  • Manage corporate business, client and vendor contracting processes
  • Ensure applicable project timelines and status are communicated to stakeholders on an ongoing basis
  • Set and communicate goals, plan and assign work appropriately, and deliver feedback continuously
  • Maintains confidentiality for all sensitive and protected information
  • Other duties as assigned

 

Education and/or Experience Needed 

  • Juris Doctorate degree from a law school approved for accreditation by the American Bar Association.
  • 5+ years of legal practice experience in relevant area(s).

Work Environment 

  • Working conditions are normal for an office environment. Evening and weekend work may be required to meet deadlines. Up to 10% travel as needed.
