POSITION OVERVIEW

The Senior Paralegal will support the legal team with corporate governance, NDA management, and legal intake operations across multiple business lines. This role operates in a fast-paced, high-volume environment and is responsible for managing a wide range of legal requests supporting project development and transactional needs across the organization. 

The employee may be required to perform other job-related duties as requested by management.  All duties will be assigned in accordance with applicable laws and company policies.

This position reports to the Deputy General Counsel or another senior management personnel designated by the General Counsel.   The role is based in Houston, TX, and is an in-office position

 

RESPONSIBILITIES

 Contract Management

  • Manage high-volume NDA requests from intake through execution
  • Draft, review, and redline NDAs using approved templates
  • Support review of vendor and project-related agreements, escalating key issues as appropriate
  • Maintain the legal contract repository and ensure compliance with internal approval processes

 

Legal Intake

  • Support day-to-day legal intake, including request triage, tracking, and assignment
  • Ensure legal requests are properly routed and completed in a timely manner

 

Execution & Administrative Support

  • Coordinate signature execution, including routing and notarization
  • Assist with legal administrative workflows (PRs, POs, and invoices) as needed
  • Assist in the management of outside counsel, including tracking billing and budgets
  • Provide administrative and execution coordination support for regulatory filings

 

Corporate Governance and Transaction Support

  • Draft routine board, member, and officer consents
  • Maintain entity management trackers and corporate records
  • Manage and coordinate Secretary of State filings (DE, TX, and other jurisdictions)
  • Coordinate approvals and assemble execution-ready document packages
  • Provide execution support for M&A and governance matters, including diligence tracking, checklist management, and document coordination

 

General Responsibilities

  • Collaborate with internal teams across project development, finance, and other departments
  • Maintain collaborative, cross-functional relationships, and can quickly adapt to ever- changing business priorities.
  • Must be able to handle multiple projects simultaneously and deal positively with changing priorities

 

REQUIRED QUALIFICATIONS

  • Paralegal Certificate from an ABA-approved program (required)
  • Texas Notary Public (active and in good standing)
  • 5+ years of experience as a Corporate Paralegal, preferably in the clean or renewable energy field, real estate or development
  • Strong understanding of contract law, and corporate legal operations
  • Bachelor’s degree in Business, Legal Studies, or related field (preferred)
  • Experience with entity management platforms, e-signature tools, and legal matter management systems
  • Excellent organizational skills, detail orientation, and the ability to manage multiple priorities
  • Strong written and verbal communication skills
  • Ability to maintain confidentiality and exercise sound judgment

 

COMPENSATION: $120,000 - $140,000 salary
