Position Overview: As the Contracts Analyst, you will play a crucial role in supporting the Director of Contracts & Negotiations and General Counsel in managing and maintaining the full lifecycle of the Company’s management contracts with its clients across all states. Your primary responsibilities will include contract tracking and management, conducting initial contract and due diligence reviews, drafting amendments and renewals, analyzing outlier clauses and deviations from the standard templates, conducting post-execution validations and maintaining a contract repository. Your responsibilities more generally will include fact gathering with relevant internal and external stakeholders, reviewing documentation, supporting the needs of the Company’s sales team, and ensuring adherence to processes and controls as established by the legal team. This will begin as an in-office role located in Plano, Texas, with the intent to become a hybrid-role. Applicants should be located within the greater DFW area.
Key Responsibilities:
- Maintain a comprehensive contract tracker and an organized repository of all contractual documentation, as established by the legal team.
- Maintain an internal record of all management contracts, amendments, and renewals.
- Draft amendments and renewals of contracts.
- Ensure timely updates of contract status and key dates (such as commencement dates, renewals, and terminations).
- Conduct initial due diligence such as legal name verification and entity status.
- Review management contracts for completeness and accuracy, including but not limited to, spelling and formatting consistencies, and manual corrections for contract deviations.
- Ensure proper version control of all contract templates and redlines.
- Establish and maintain FAQs, reports, rebuttals, and workflows used and implemented during the negotiation process.
- Create and maintain an internal summary document for internal stakeholders highlighting all non-standard clauses, financial outliers, and risk items.
- Monitor group contract emails for receipt of fully executed contracts, in accordance with company policies.
- Conduct post-execution verification of required signatures, dates, and any unapproved deviations.
- Perform internal operational analysis of contracts to support negotiation strategies and evaluate market trends.
- Monitor terminations on a monthly basis to timely update management contract repository.
- Support the long-term development and implementation of contract lifecycle management tools and software.
- Perform other legal and administrative functions and other duties as assigned.
QUALIFICATIONS:
- Bachelor’s degree required; Master’s degree preferred.
- Minimum of 2-4 years contract drafting and negotiation experience in a law firm or corporate legal department.
- Prior exposure to multi-jurisdictional contract matters is preferred.
- Experience with Salesforce and/or Smartsheet is a plus.
- Strong understanding of legal processes, procedures, and terminology.
- Experience reviewing and cross-checking contracts for inconsistencies.
- Strong verbal and written communication skills with the ability to collaborate effectively across departments and with all levels of the organization.
- Detail-oriented with strong organizational and multitasking abilities and the ability to work independently and think critically.

Pay and Benefits:
$55,000 to $75,000 annually, depending on education and experience.
