As a Vice President, Assistant General Counsel on the J.P. Morgan Asset Management Private Markets Alternatives Legal team, you will support our multi-billion-dollar alternative investment platform. The Private Markets business manages strategies across the alternative investment spectrum, including real estate, private equity, private credit, infrastructure, and transportation. The role includes both the creation of new funds and the maintenance of existing funds. You will utilize your expertise in open-end and closed-end private funds, and in-depth knowledge of investment management legal issues, including relevant regulations and guidance on investment advisory matters.

Job Responsibilities
- Provide legal advice and counsel to J.P. Morgan Asset Management Private Markets Alternatives with a focus on the private credit and private equity asset classes.
- Provide legal support and advice across private funds, registered alternative investment funds, separately managed account mandates, funds-of-one, employees’ securities companies, carried interest vehicles and other products that relate to Alternatives strategies.
- Advise the business on a wide range of legal and regulatory issues relevant to the formation, structuring and management of fund products, including negotiation of side letters and other contracts, as well as transactional work for such products.
- Work closely with other members of the Legal Department and other control functions (e.g., Compliance, Risk) both within the U.S. and globally to identify and resolve issues.
- Collaborate with professionals across Legal, Compliance, and Risk functions.
- Participate in business committees and collaborate with colleagues across product strategy and development, finance, marketing, portfolio management, Compliance, Risk, and the Legal Department.
- Oversee and manage outside counsel efficiently.
- Coordinate as needed with other divisions of Asset & Wealth Management.
- Provide legal support for special projects and cross-Alternatives initiatives.
Perform additional duties as assigned to ensure high-quality legal support for the business.
Required Qualifications, Capabilities, and Skills
- JD degree
- Minimum of 5 years of relevant law firm, financial institution or comparable experience
- Knowledge of investment management legal issues, including pertinent regulations and guidance on investment advisory issues
- Strong understanding of private fund formation and private fund structures
- Knowledge of relevant laws (e.g. Investment Advisers Act)
- Willingness to develop knowledge of new fund structures, investment products, asset classes, lines of business, and areas of law
- Demonstrated legal analytical, drafting, and negotiation skills
- Demonstrated strong interpersonal, communication (verbal and written), and organizational skills, with proven ability to serve as a trusted advisor to business partners or clients
- Excellent analytical, problem-solving, judgment, and decision-making capabilities
- Proven ability to work independently, prioritize multiple projects, and manage competing deadlines effectively

Preferred Qualifications, Capabilities, and Skills
- Experience with private credit, private equity and public/private strategies and products
- Understanding of ERISA and the Bank Holding Company Act
- Experience with the Investment Company Act
- Knowledge of BDCs, 1940 Act registered closed end funds, and 1933 and 1934 Act registered funds
