Job Title: Mergers & Acquisitions Associate Attorney (Mid-Level)
Practice Area: Corporate & Securities – M&A and Private Equity Transactions
Location: New York, NY (Primary)
Schedule: Full-time | Billable Requirement: Approximately 1800 hours/year
Salary: $310,000 – $390,000 (dependent on experience and qualifications)

The Corporate & Securities Group has a rapidly growing M&A and private equity practice, positioning itself at the forefront of complex transactional work.
Responsibilities:
The incoming associate will join a dynamic team handling high-profile M&A and private equity transactions. Responsibilities include:
- Representing buyers, sellers, investors, and management in domestic and cross-border mergers, acquisitions, divestitures, and joint ventures
- Leading due diligence efforts and preparing due diligence memoranda
- Drafting, reviewing, and negotiating definitive transactional documents including stock and asset purchase agreements, merger agreements, and shareholder agreements
- Supporting private equity clients on leveraged buyouts, recapitalizations, and growth equity investments
- Advising clients on corporate governance and general corporate matters
- Collaborating with attorneys across practice groups to address deal-related issues
Required Credentials:
- Juris Doctor (JD) from an ABA-accredited U.S. law school
- Admission to the New York State Bar in good standing
- 4 to 6 years of experience in M&A and private equity transactional work
- Substantive experience with leveraged buyouts, growth capital investments, and other complex deal structures
- Demonstrated legal research, writing, and analytical skills
- Experience at an Am Law 100 (or comparable) law firm highly preferred
- Ability to manage multiple transactions concurrently under tight deadlines
Additional Preferred Skills:
- Exposure to cross-border transactions or international deal structuring
- Familiarity with venture capital financings or startup ecosystems
- Strong interpersonal skills and team collaboration experience
- Comfort with direct client interaction and strategic business thinking
