Job Description

Legal Document Analyst

 

The Legal Document Analyst provides support to in-house counsel in preparation, review and communication for all commercial transactions and regulatory compliance matters and provides litigation support for legal matters. They will assist and communicate with both internal and external counsel and key business owners of the corporation in a variety of commercial legal matters.  The ability to reach sound business decisions under the direction of Corporate Counsel is a key competency.  Employee may perform other related duties as required to meet the ongoing needs of the organization.

 

Essential Responsibilities:

  • Assist in-house counsel and business owners in contract drafting, reviewing, negotiating, and execution of commercial and corporate agreements.
  • Provide litigation support, including communicating as liaison with outside counsel and insurance providers, providing e-Discovery support during course of litigation, responding to subpoenas, implementing all litigation holds, understanding redaction requirements for confidential information, and filing all electronic and paper litigation documents.
  • Assist in management of regulatory compliance requirements, including filing annual reports, facilitating necessary training, conducting, and reviewing compliance audits of regulatory matters, and maintaining required documentation of the same.
  • Perform legal research and analysis at in-house counsel’s direction, report and advise corporate counsel on the same in all legal areas as requested by corporate counsel and keep corporate counsel apprised of changes in applicable law.
  • Assist with corporate governance documentation for parent company and international subsidiaries.
  • Work closely with in-house counsel as well as key business owners and support functions such as HR, Finance and Marketing to address legal, business needs and assist in providing oversight of outside counsel’s service provisions.
  • Manage and maintain complete documentation for all legal files electronically and in paper copy, as required.
  • Provide administrative support to corporate counsel.
  • Support strategic initiatives and process improvement projects for the legal department.

 

Essential Skills: 

  • Bachelor’s degree from an accredited institution and 2+ years’ legal experience in a corporate legal department (law firm or business)
  • Paralegal certificate from an ABA approved certification program a plus
  • Bilingual communication (English and Spanish) a plus.
  • Proficiency with Microsoft Office Programs (Word, Excel and PowerPoint) 
  • Ability to thoroughly read, analyze, and interpret general business agreements, laws, and governmental regulations.  
  • Ability to write reports, letters, and draft basic business/legal documents.  
  • Ability to define problems, collect data, establish facts, and draw valid conclusions.  
  • Familiarity with laws applicable to commercial contracting, corporate governance and corporate law, litigation documentation, process, and regulatory compliance
  • Ability to prioritize and manage multiple projects simultaneously. 
  • Ability to be flexible and work independently in a fast-paced and challenging environment.
  • Strong written and verbal communication skills.
  • Excellent organization and time-management skills.  
  • Ability to maintain and exercise discretion with highly confidential information.
