About the Role:

We are seeking a dynamic and experienced Corporate Attorney to join our Legal team, with a focus on supporting our Commercial Legal function. The ideal candidate will be a proactive self-starter with a strong background in commercial contracts and a collaborative approach to solving legal and business challenges.  You will work cross-functionally with both internal teams and external stakeholders to help drive the company’s legal and strategic objectives.

Key Responsibilities:

  • Draft, review, and negotiate a variety of commercial agreements, including:
    • SaaS and software license agreements
    • Data processing agreements (DPAs)
    • Non-disclosure agreements (NDAs)
    • Customer contracts for software and service delivery
  • Manage the full lifecycle of customer contracts, from initial negotiation through execution and post-signature implementation
  • Collaborate with stakeholders across Sales, Finance, HR, and Service Delivery to ensure contracts meet business and operational requirements
  • Provide legal support on international corporate and compliance matters
  • Develop and deliver training to employees on legal issues, risk mitigation, best practices, and company policies
  • Draft, negotiate, and review a wide variety of commercial agreements, including vendor contracts, service agreements, NDAs, and partner/distribution agreements.
  • Advise business units on legal and regulatory issues affecting commercial relationships and company operations.
  • Support litigation and dispute actions, M&A activities, and corporate governance as needed.

Qualifications:

  • Minimum of 5 years of legal experience, with a focus on the software/technology services sector
  • Combination of law firm and in-house experience preferred
  • Strong drafting, negotiation, and analytical skills
  • Excellent verbal and written communication abilities; capable of clearly articulating complex legal concepts to non-legal stakeholders
  • Highly organized with strong time management and the ability to manage multiple priorities in a fast-paced environment
  • Practical, business-oriented approach to legal problem-solving
  • Sound judgment and the ability to work independently with minimal supervision
  • Strong interpersonal skills and a collaborative mindset
  • Familiarity with applicable accounting and financial principles is a plus
  • High energy, adaptability, and a proactive attitude toward achieving business objectives

Education:

  • Juris Doctor (JD) from an accredited law school
  • Active membership in a state bar, in good standing
