Job Summary:
The Vice President of Legal Affairs- Franchising will support the Senior Vice President of Legal Affairs, Franchise & Compliance in managing franchise-related projects relating to the company’s portfolio of brands, as further described below. The successful candidate will have meaningful franchising experience, including international franchising experience, at one or more franchising companies or law firms.
Responsibilities:
- Assist with US, Canada and international FDDs and manage outside counsel support on same.
- Negotiate and draft international MFAs and maintain effective international franchise compliance program.
- Document and continuously improve SOPs and franchise compliance manuals.
- Engage with regulators on inquiries and proactively develop regulator relationships.
- Maintain up-to-date template library for franchising and end-user agreements.
- Stay current on all relevant laws and regulations, including FTC and state franchise and consumer protection laws.
- Support continuous improvement and implementation of privacy program within a franchise system structure.
- Effectively manage compliance and training programs for all laws and regulations impacting operations, including TCPA, ADA, gift card compliance, franchise sales, marketing, and health/spa laws.
- Continuously improve best-in-class franchise agreement database and engage in effective change management when appropriate.
- Maintain useful FAQs for business clients regarding franchise and operational compliance questions.
- Monitor vicarious liability issues and documents and implement appropriate compliance procedures.
- Effectively manage franchisee compliance with insurance requirements.
- Support M&A from franchise perspective.
- Assist with supervision of legal professionals and project management.
- Provide strategic and proactive legal advice to business clients.
- Effectively communicate and manage business client expectations.
- Maintain deep understanding of business objectives, adequately spot important legal issues, clearly communicate risks and considerations for business input, and take a commercial approach to risk mitigation.
- Assess risk and use sound business and legal judgment to make decisions, negotiate, and determine priorities to meet deadlines in a fast-paced environment.
- Inspire confidence in business clients by consistently providing well-reasoned legal advice and practical solutions to complex issues.

Qualifications:
- Juris Doctor Degree
- Minimum of four (4) years of relevant experience as a lawyer. Must have experience as outside and/or in-house counsel in franchising.
- Member of at least one U.S. state bar with ability to qualify for California in-house registration.
- Proof of eligibility to work in the United States.
- Ability to demonstrate and adhere to the highest standards of ethics and integrity.
- Substantive experience, knowledge and understanding of legal strategies and principles related to job description; ability to analyze and apply legal principles and precedents to legal issues; ability to perform legal research, evaluate alternatives and make sound recommendations.
- Excellent research and writing skills; ability to prepare clear, concise and complete legal documents, reports, correspondence and other communications materials on complex legal issues; ability to communicate effectively in English, in both written and oral forms; ability to make effective public presentations.
- Ability to exercise initiative, independent judgment, and work with discretion.
- Ability to deal effectively with all business contacts, including government agencies, and to establish and maintain effective working relationships with co-workers, internal clients, and external business partners.
- Sound judgment and superior decision-making, multi-tasking and problem-solving skills; ability to meet prescribed deadlines.
- Basic proficiency in MS Word, Excel, PowerPoint and MS Outlook.
- Excellent verbal and written communication skills.
