Attorney - Employee Benefits and Executive Compensation

We are seeking an experienced Executive Compensation and Employee Benefits Attorney to join our esteemed law firm client. This role is ideal for a professional with deep expertise in ERISA, employee benefits, and tax compliance matters. The ideal candidate will have a strong background in structuring equity compensation arrangements and navigating tax implications.

Key Responsibilities:

• Advise clients on executive compensation matters, including deferred compensation arrangements and tax treatment of equity-based incentives.

• Implement equity compensation plans for partnerships and limited liability companies.

• Counsel clients on qualified retirement plans, including ESOPs, and ensure compliance with ERISA.

• Provide strategic guidance on health and welfare plan compliance, including ACA regulations.

• Represent publicly traded companies, startups, and investment firms in structuring executive compensation and benefits strategies.

• Analyze tax implications related to mergers, acquisitions, and corporate restructuring, including handling stock option rollovers and deferred management fees.

• Conduct presentations and training on evolving regulatory requirements impacting employee benefits and compensation.

Qualifications:

• J.D. from an accredited law school and active state bar membership.

• 5+ years of experience in employee benefits, and tax compliance. Executive compensation experience is a plus.

• Experience advising corporate clients, startups, and investment firms on compensation strategies.

• Strong analytical and communication skills, with the ability to explain complex tax and benefits issues to clients.

Location:
The successful candidate could be located in Chicago, Milwaukee or work remotely.
