The selected colleague will work at an MUFG office or client sites four days per week and work remotely one day. A member of our recruitment team will provide more details.Main Purpose of the Role
MUFG is seeking a structured products / securities law attorney to provide legal support to the MUFG’s Asset-Backed Securities (ABS) business across a wide spectrum of asset classes and transaction types. This includes registered, 4(a)(2) and Rule 144A offerings, CLOs, asset-backed commercial paper programs, warehouse lending facilities (including CLO warehouses), and structured trade receivables platforms. The role requires a deep understanding of structured finance products, excellent transactional skills, and the ability to provide proactive, solution-oriented legal advice in a fast-paced business environment.
Key Responsibilities
Serve as lead internal legal advisor on ABS transactions, including public and private securitizations, CLOs, and warehouse lending facilities.
Review and negotiate transaction documents, offering materials, engagement letters, and fee letters.
Manage legal and regulatory risks in connection with ABS and CLO execution, marketing, and disclosure.
Advise on legal structuring, asset eligibility, risk retention, disclosure issues, and SEC, FINRA, and other applicable regulatory requirements.
Coordinate with outside counsel and internal stakeholders, including Compliance, Risk, and Credit, to ensure legal and regulatory alignment.
Support the development of new products and platforms across the structured finance space.
Monitor regulatory developments relevant to ABS, CLOs, and structured credit markets and advise the business on implications.
Assist with legal due diligence and asset-level issues in connection with warehouse lines.
Provide thought leadership on emerging legal and market issues impacting the securitization and structured credit space.
Skills and Experience
Qualified in New York.
Minimum of 6 years of post-qualification experience, including at least 4 years at a leading law firm and/or investment bank.
Extensive experience advising on ABS and CLO transactions, including 144A, 4(a)(2) and registered offerings.
Familiarity with a wide range of underlying asset classes (e.g., consumer, auto, equipment, trade receivables, esoteric ABS).
Strong working knowledge of US securities laws, including the Securities Act, Exchange Act, and Investment Company Act, as applicable to structured finance.
Demonstrated experience with asset-backed warehouse facilities, CLO warehouses, and related credit documentation.
Proven ability to manage complex transactions and cross-functional teams under tight timelines.

The typical base pay range for this role is between $221K - $278K depending on job-related knowledge, skills, experience and location. This role may also be eligible for certain discretionary performance-based bonus and/or incentive compensation.
