The M&A & Corporate Counsel will play a key role in strategic and transactional initiatives as well as many other corporate and commercial matters across Amynta. Reporting directly to the General Counsel, this role presents an exciting opportunity to join a high growth, M&A-oriented PE portfolio company and work in a highly entrepreneurial environment. The M&A Counsel will partner with Amynta’s internal M&A team to advance the company’s ambitious strategic growth initiatives, while also working closely with senior leadership and business unit leaders to support the company’s commercial objectives. The position requires a motivated, collaborative team member with a strong ability to partner with different constituencies and a commitment to ensure excellence and consistency in legal counsel across Amynta.- Provide strong transactional legal advice to the M&A team and senior business leaders across the organization, including engagement in proactive issue-spotting, risk assessment and problem-solving.
- Serve as lead negotiator and primary drafter on M&A transactions, including drafting and negotiating purchase agreements, letters of intent, term sheets, and related documentation.
- Coordinate closely with deal teams, clients, and subject matter experts to align documents with business and legal goals.
- Lead efforts regarding legal due diligence efforts, including reviewing documents and disclosure schedules, closings and post-closing integrations.
- Draft and negotiate a wide range of other corporate and commercial agreements, including joint venture agreements, confidentiality and non-disclosure agreements and customer and vendor contracts.
- Provide legal support across a wide range of functions and in various areas of the law, including corporate governance, finance and insurance services.
- Compensation: $225 - $Y250 plus bonus eligibility. Our compensation package is tailored to individual qualifications and takes into account factors such as: geographical location, relevant experience, skills and knowledge pertaining to this role and industry.
