Lateral Associate

Practice Area: Corporate Law - Medica/Pharma Bioscience Transactions

Location: San Francisco, CA

Schedule: Onsite or Hybrid depending on firm policy; full-time with typical AmLaw 20 billable expectations (~2,000+ annually)

Salary: Published range $260,000 to $420,000, plus discretionary performance-based bonuses.


The Client:

An AmLaw 20 firm with an entrepreneurial, collaborative life sciences practice advising public and private life sciences companies, as well as healthcare-focused investment funds. The group is known for its sophisticated transactional work, especially in capital markets and M&A within the biotech, pharma, and medtech sectors.


Description:

The firm seeks a highly qualified mid-level or senior associate (class years 2018–2022) to join its Life Sciences transactional group. You will work on a broad range of corporate transactions for life sciences companies and dedicated healthcare investment funds, including:

  • Public capital markets offerings (IPOs, follow-ons, ATM facilities)
  • Private offerings (PIPEs, venture capital financings)
  • 1934 Act reporting (Forms 10-K, 10-Q, 8-K)
  • Public and private company M&A, including structured deals such as earnouts, product acquisitions, and spinouts

You will be client-facing from day one, collaborating with colleagues across corporate, IP, and regulatory practices. This role offers the opportunity to deepen your expertise in a fast-evolving sector with high potential for growth into leadership positions.


Qualifications:

  • JD from an accredited law school; CA Bar admission or eligibility to obtain promptly.
  • Class years 2018–2022 preferred.
  • Extensive experience in public and private capital markets transactions for life sciences companies.
  • Strong background in venture financings, PIPEs, and corporate governance matters.
  • Experience in life sciences M&A transactions, including structured/contingent consideration deals.
  • Excellent drafting, negotiation, and project management skills.
  • Ability to manage multiple transactions with minimal supervision.
