AZZ is seeking a dynamic and experienced Senior Corporate Counsel to join our legal team. This is an outstanding opportunity for a self-motivated, strategic-thinking legal professional to play a key role in supporting our business operations, protecting our shareholder interests, and contributing to the execution of our strategic initiatives.
In this role, you will lead and manage a wide range of legal matters, including commercial contracts and disputes, Conflict Mineral Reporting, commercial litigation, labor and employment matters, M&A transactions and various corporate projects as assigned. You will also oversee our law school internship program in partnership with SMU and Texas A&M Law School.
We are looking for someone with the judgment to know when a legal issue needs a quick fix—and when it needs all hands-on deck. A strong business mindset, the ability to juggle competing priorities, and a practical approach to risk management are essential. You’ll report directly to the Chief Legal Officer and collaborate with leaders across all levels of the organization on matters ranging from EEOC charges and master sales agreements to real estate, financing, regulatory compliance, and intellectual property.
This role does not require specialization in any one legal area, except for significant experience in commercial contracts.
Key Responsibilities
- Support the execution of AZZ’s legal strategy, particularly in areas such as acquisitions, joint ventures, and strategic partnerships.
- Provide legal counsel on a broad range of issues including commercial contracts, licensing, corporate governance, regulatory compliance, and employment and litigation matters.
- Serve as a trusted advisor to business leaders, offering practical, business-oriented legal solutions that balance risk and opportunity.
- Draft, review, and negotiate a wide variety of agreements, including commercial contracts, NDAs, vendor agreements, real estate leases, and licensing arrangements.
- Manage and protect AZZ’s intellectual property portfolio, including trademarks and copyrights. We use external intellectual property attorney, you merely have to manage
- Monitor and interpret evolving laws and regulations to ensure compliance and mitigate future risk.
- Supervise and mentor law school interns from SMU and Texas A&M Law School.
- Lead AZZ’s participation in the Department of Energy’s Industrial Assessment Centers and related federal funding initiatives, aimed at helping companies identify opportunities to improve energy efficiency, reduce waste, and enhance productivity.
- J.D. from an accredited law school and active license to practice law.
- 4–7 years of legal experience, ideally with a combination of law firm and in-house experience at a publicly traded company.
- Demonstrated experience supporting complex business transactions, including M&A, joint ventures, and regulatory compliance.
- Strong drafting and negotiation skills across a wide range of legal documents.
- Ability to assess legal risk in the context of business strategy and provide actionable guidance to operations and/or various corporate functions (e.g., accounting, marketing, finance, investor relations, etc.)
- Excellent communication, interpersonal, and time management skills.
- Proven ability to manage multiple priorities in a fast-paced, dynamic legal environment.
- High ethical standards and sound judgment.
- MBA is a plus.
